THESE TERMS OF SERVICE CONSTITUTE A LEGALLY BINDING AGREEMENT (“AGREEMENT”) BETWEEN YOU AND GRANULAR, INC. AND ITS AFFILIATES (“WE”, “OUR” OR “US”) AND GOVERNS YOUR ACQUISITION OF, ACCESS TO, AND USE OF THE SERVICES.

Capitalized terms used herein are defined terms, and definitions can be found at the end of this Agreement.

By accessing or using the Services or by continuing to access or use the Services after being notified of a change to this Agreement, You are agreeing to the terms in this Agreement. If You are entering this Agreement on behalf of a business, employer, or other legal entity, You are accepting these terms on behalf of that entity and representing that You have the legal authority to bind the entity, in which case “You” and “Your” refers to You, the entity, and its Affiliates. If You do not have such authority, are not 18 years of age or older, or do not agree to these terms, You may not access or use the Services.

THIS AGREEMENT LIMITS THE REMEDIES THAT MAY BE AVAILABLE TO YOU IN THE EVENT OF A DISPUTE. UNITED STATES USERS: THESE TERMS CONTAIN A BINDING ARBITRATION AGREEMENT AND CLASS ACTION AND JURY TRIAL WAIVERS, WHICH ARE APPLICABLE TO ALL UNITED STATES USERS AND USERS HAVING OPERATIONS IN THE UNITED STATES. PLEASE READ CAREFULLY THE BINDING ARBITRATION AGREEMENT AND CLASS ACTION AND JURY TRIAL WAIVERS – IT AFFECTS HOW DISPUTES ARE RESOLVED.

We reserve the right to make changes to this Agreement at any time. Further, Additional Terms may apply to the Services and are hereby incorporated into this Agreement and govern Your and Your Users’ access to and use of the Services. Please check back from time to time to ensure You are aware of any updates or changes.

You or Your Users may not access the Services if You are Our Competitor, except with Our prior written consent. which may be withheld for any or no reason. In addition, You and Your Users may not access the Services for purposes of (a)monitoring the performance or functionality, of the Services; (b) showing the Services or Our Information to any Competitor or third party not governed by this Agreement; or (c) for any other benchmarking or competitive purposes.


1. USE OF SERVICES.

1.1 Permitted Use. Subject to the terms of this Agreement, including its Additional Terms, We grant You the limited, personal, non-exclusive, non-sublicensable, and non-transferable right to access and use the Services and Our Information solely for Your personal use or internal business purposes. You may permit Your Users to access and use the Services on Your behalf, and You are responsible for by or through Your and/or Your Users’ access to and use of Your account(s). If You are a retailer or other entity or person using the Services for the benefit of another party, You represent and warrant that You have all necessary consents to use the Services on the other party’s behalf and that You have given the recipient of the Services an opportunity to review the terms and conditions herein.

1.2 Restrictions. You and Your Users may not: (a) copy, reproduce, distribute, modify, edit, create derivative works, adapt, translate, reformat, derive, emulate, exploit, republish, download, display, post, transmit, disassemble, reverse engineer, or decompile, except as expressly permitted herein, any portion of the Services and its associated software code and functionality, except to the extent that the applicable copyright law expressly permits doing so; (b) license, assign, transfer, sublicense, or otherwise commercially exploit Your rights to the Services or Our Information, or use the Services or Our Information on behalf of or for the benefit of a third party other than Your Users, including in any service bureau or timesharing arrangement; (c) use the Services or Our Information for the purposes of competitive comparison or competitive development; (d) use the Services or Our Information in any way (i) that violates applicable Law; (ii) intended to violate a third party’s privacy; or (iii) to threaten, stalk, harass, defame a third party, or otherwise violate the legal rights of others; (e) interfere with the integrity, operation, or performance of the Service, or related software; (f) access or try to access any Services or Our Information that You or Your Users do not have the right to access, or use the Services in any unauthorized way that could interfere with anyone else’s use of them or gain access to any other service, data, account, or network; (g) allow any unauthorized party to access Our Information or Your instance of the Services; (h) use any third party content or services available through the Services separately from the Services; (i) publish, copy, rent, lease, sell, export, import, distribute, or lend the software or Services, unless We expressly authorize You to do so; (j) frame or use framing techniques including without limitation to enclose any trademark, logo, or Services (including images, text, page layout, or form) of Ours; (k) use any metatags or other “hidden text” using Our name or trademarks; (l) use any manual or automated software, devices, or other processes (including but not limited to spiders, robots, scrapers, crawlers, avatars, data mining tools, or the like) to “scrape” or download data from the Services (except that We grant the operators of public search engines revocable permission to use spiders to copy materials from the Services for the sole purpose of and solely to the extent necessary for creating publicly available searchable indices of the materials, but not caches or archives of such materials); (m)remove or destroy any copyright notices or other proprietary markings contained on or in the Services; (n) interfere with or attempt to interfere with the proper functioning of the Services or use of the Services in any way; or (o) attempt to circumvent, bypass, or harm the software or Services or any technical measures in or relating to the software or Services, including but not limited to, by violating or attempting to violate any related security features, introducing viruses, worms, or similar harmful code into the Services, or interfering or attempting to interfere with the use of the Services by any other user, host or network, including by means of overloading, “flooding,” “spamming,” “mail bombing,” or “crashing” the Services.

Any unauthorized use of the Services by You or Your Users may result in Our locking, disabling, blocking, and/or deleting Your account and/or immediately terminating the licenses granted by Us pursuant to this Agreement, without notice to You. You must promptly notify Us if You suspect or know of any violations or possible violations to the terms of the Agreement, and You agree to cooperate with and assist Us in any investigation of such potential violations or enforcement of the terms of the Agreement.

1.3 User Generated Content. Certain Services may permit You and Your Users to submit Content to the Services. When You and Your Users share Content via the Services You and Your Users understand that may be able to view, use, save, record, reproduce, share, or display Your Content without compensating You. If You or Your Users do not want other users to have that ability, do not use the Services to share Your Content. You represent and warrant that for the duration of this Agreement, You have (and will have) all the rights necessary for Your Content that is submitted, uploaded, stored, or shared on or through the Services and that the collection, use, and retention of Your Content will not violate any Laws or rights of others. We cannot be held responsible for Your Content or the content or materials others upload, store, or share using the Services. You and Your Users shall not submit any Content that violates this Agreement or is objectionable or inappropriate (e.g., sexual content, nudity, pornography, offensive language, criminal activity, hate speech, content promoting violence, bullying, or harassment). When using the Services, You and Your Users agree not to engage in activity that is illegal, fraudulent, false, or misleading (e.g., impersonating someone else, manipulating the Services).

To the extent necessary to provide the Services, to protect You and the Services, and to improve the Services, You and Your Users grant to Us a worldwide and royalty-free intellectual property license to use Your Content, for example, to make copies of, retain, transmit, reformat, display, and distribute Your Content. Your Content may appear in demonstrations, training materials, or in materials used to promote the Services, including without limitation, advertising. We will not use Your Content to target advertising to You.

If We become aware of any use of the Services by You or Your Users that we deem objectionable, inappropriate, or in violation of the terms of this Agreement or applicable Law, We will respond in any way that We, at our sole discretion, deem appropriate, including without limitation (a) suspending or terminating Your and/or Your Users access to the Services; (b) blocking delivery of communication to or from the Services; (c) removing or refusing to publish Your Content; and/or (d)reporting to law enforcement authorities any actions that may be considered illegal, as well as any reports We receive of such conduct. When requested, We will cooperate fully with law enforcement agencies in any investigation of alleged illegal activity on the Internet. We reserve the right to review your Content in order to resolve any issue. However, We cannot monitor the entire Services and make no attempt to do so.


2. DATA, ACCOUNT INFORMATION, AND CONFIDENTIALITY

2.1 Data Privacy. We will handle Personal Information and Other Information in accordance with Our Privacy Terms.

2.2 Confidentiality. Confidentiality of Your Personal Information is addressed in the Privacy Terms referenced above. The Services and ways in which Our Information is generated constitute valuable intellectual property not generally known by or shared with the public. You will treat and safeguard the Services and Our Information as confidential information and not share the Services or Our Information with any third parties not authorized to access the Services.

2.3 Accuracy of Account Information. When You create an account for certain Services, You may be asked to provide certain information such as email address, screen name, location, or other user information. By entering that information, You represent all such information is true and accurate. For example, You will not associate land or equipment that You do not own or have a right to access with the Services. You also agree to promptly update such information if it changes at any time during Your use of the Services. You also represent that You are not barred from using the Services under any applicable Law. You agree that Your information may be transferred by Us to other services (including without limitation Granular’s Affiliates’ Services) that may supplement or replace the Services You currently use.

2.4 Login Credentials. When You create an account for certain Services, You may be asked to provide a user name and password. To protect Your account, keep Your account details, login credentials, and password confidential. You and Your Users are responsible for preventing minors (i.e., persons under the age of “majority” where You live) and other unauthorized users from using Your login credentials to access the Services. You are solely responsible for the activities of anyone accessing Your account or the Services using Your login credentials. You must promptly notify Us of any unauthorized use of Your login credentials or the Services and promptly change Your password if Your account has been compromised. You agree not to create an account using any false, inaccurate, or misleading information (such as by using a false identity or alias) or if You have been previously banned from using the Services. You further agree You will not maintain more than one account for the Services at any given time.

2.5 Equipment/Data Plans. To use the Services, You will need an internet connection and/or data/cellular plan. You might also need additional equipment. You are responsible for providing all connections, plans, and equipment needed to use the Services and for paying the fees charged by the provider(s) of Your connections, plans, and equipment. Those fees are in addition to any fees You pay Us for the Services and We will not reimburse You for such fees. Check with Your provider(s) to determine if there are any such fees that apply to You.


3. INTELLECTUAL PROPERTY RIGHTS

3.1 Our rights. We, or third parties who have granted Us rights, own and shall retain all right, title, and interest (including any intellectual property rights therein) in and to: (a) the Services and all derivative works, modifications, copies, and improvements to the Services,; (b) Our Information,; and (c) Our Branding Material.

3.2 Feedback. You agree that any Feedback will be Our exclusive property. To the extent You or Your Users own any rights in the Feedback, You and Your Users agree to assign and hereby do assign to Us, without charge, royalties or other obligation to You or Your Users, all right, title, and interest in and to the Feedback, including, without limitation, the right to make, have made, create derivative works, use, share, and communicate Your Feedback in any way and for any purpose. You will not give Feedback that is subject to a license that requires Us to license its software, technologies, or documentation to any third party because We include Your Feedback in them. You agree to perform all acts reasonably requested by Us to perfect and enforce such rights.

3.3 Your rights. You own Your Information, and, subject to the Privacy Terms, You grant Us a non-exclusive license to access, use, reproduce, display, modify, and prepare derivative works based on Your Personal Information or Other Information for the purpose of providing, improving, and enhancing the Services. You own Your Branding Material. You grant Us a non-exclusive, non-transferable license to use Your Branding Material in the provision of the Services, publishing of material on Our website, and production of marketing materials to promote Our products and services, which may include the disclosure of Your relationship with Us.

3.4 Reservation of Rights. Except as expressly provided under this Agreement, We do not grant you a license or any other rights of any type under any patents, know-how, copyrights, trade secrets, trademarks or other intellectual property owned or controlled by Us or any of Our Affiliates or related entity, including, but not limited to, any name, trade dress, logo or equivalents.


4. FEES AND PAYMENTS

4.1 Fees. You shall be responsible for the payment of all fees, which may include but are not limited to Services subscription fees or those set forth on any Order Form, for the Services associated with this Agreement. Fees will be disclosed and assessed, as needed, according to Our procedures, and We may change those fees at Our sole discretion from time to time. The fees for the Services exclude all applicable taxes, unless otherwise stated. We may suspend or cancel the Services if We do not receive an on time, full payment from You. Suspension or cancellation of the Services for non-payment could result in a loss of access to and use of Your account and Your Content. Connection to the internet via a corporate or other private network that masks Your location may cause charges to be different from those displayed for Your actual location. Except as otherwise noted in this Agreement, all purchases are final and non-refundable. If You believe that We have charged You in error, You must contact Us with 90 days of such charge. No refunds will be given for charges more than 90 days old. We reserve the right to issue refunds or credits at our sole discretion. If We issue a refund or credit, We are under no obligation to issue the same or similar refund or credit in the future. This refund policy does not affect any statutory rights that may apply.

4.2 Taxes. You are responsible for any Taxes and will pay Us for the Services without any reduction for such amounts. If We are obligated to collect or pay Taxes, We will include such Taxes on Our invoice, unless You provide Us with a valid tax exemption certificate authorized by the appropriate taxing authority. If You are required by law to withhold any Taxes from Your payments to Us, You must provide Us with official documentation to support such withholding.

4.3 Invoices; Payment; Late Payment. All amounts are due and payable upon Your receipt of Our invoice or other method of billing for Service, unless otherwise stated in billing statements. Interest shall accrue on amounts more than fifteen (15) days past due at the lower rate of one percent (1%) per month or the highest rate of interest allowed by Law, calculated from the date such amount was due. You shall reimburse Us for the reasonable costs of collection, including legal fees and expenses. Additionally, You agree to permit Us to use any updated account information regarding Your selected payment method provided by Your issuing financial institution or the applicable payment network. You agree to promptly update Your account and other information, including Your email address and payment method details, so We can complete Your transactions and contact You as needed in connection with Your transactions. Changes made to Your billing account will not affect charges We submit to Your billing account before We could reasonably act on Your changes to Your billing account. By providing Us with a payment method, You: (a) represent that You are authorized to use the payment method You provided and that any payment information You provide is true and accurate; (b) authorize Us to charge You for the Services or available Content using Your payment method; and (c) authorize Us to charge You for any paid feature of the Services You choose to sign up for or use while this Agreement is in force. We may bill You (a) in advance; (b) at the time of purchase; (c) shortly after purchase; or (d) on a recurring basis for subscription Services. Also, We may charge You up to the amount You have approved, and We will notify You in advance of any change in the amount to be charged for recurring subscription Services. We may bill You at the same time for more than one of your prior billing periods for amounts that haven’t previously been processed.

4.4 Recurring Fees. When You purchase the Services on a subscription basis (e.g., monthly, quarterly, or annually), You agree that You are authorizing recurring payments, and payments will be made to Us by the method and at the recurring intervals that You have agreed to, until the subscription for that Service is terminated by You or by Us. You must cancel Your Services before the next billing date to stop being charged. We will provide You with instructions on how You may cancel Your Services. By authorized recurring payments, You are authorizing Us to store Your payment instrument and process such payments as either electronic debits or fund transfers, or as electronic drafts from Your designated account (for Automated Clearing House or similar payments), or as charges to Your designated account (for credit card or similar payments) (collectively, “Electronic Payments”). Subscription fees are generally charged in advance of the applicable subscription period. If any payment is returned unpaid or any credit card or similar transaction is rejected or denied, We or Our service providers reserve the right to collect any application return item, rejection, or insufficient funds fee and process any such payment as an Electronic Payment.

4.5 Promotional Offers. From time to time, We may offer Services for a trial period during which We will not charge You for the Services. We reserve the right to charge You for such Services (at the normal rate) if We determine, in Our reasonable discretion, that You are breaching the terms and conditions of the offer or this Agreement.


5. TERM AND TERMINATION

5.1 Term. This Agreement shall commence on the Effective Date and continue until the expiration or termination of Your use of all Services. The initial term and renewal periods are collectively the “Term”.

5.2 Termination by You. If You wish to terminate Your relationship with Us, You must notify us via email at: privacy@granular.ag and provide Us with any additional account information necessary to terminate Our relationship with You.

5.3 Termination by Us. We may terminate this Agreement by providing notice to an email address associated with Your account and issuing a pro-rated refund of any pre-paid, unused subscription fees You have paid. This Agreement will automatically terminate without refund if You become the subject of a petition in bankruptcy or any other proceeding relating to insolvency, receivership, liquidation or assignment for the benefit of creditors. In addition, if We become aware of unauthorized use of the Services by You or Your Users or activities that we deem to be inappropriate or objectionable with respect to the Services, We may respond in any way that, in Our sole discretion, We deem appropriate, which may include termination of this Agreement without notice and without any refund of any fees. Upon termination, You and Your Users must immediately delete and destroy any downloaded application, Content, and printed materials related to the Services.

5.4 Rights and Obligations Upon Termination. Upon expiration or termination (whether by You or Us) of this Agreement, You and Your Users right to access the Services, stops immediately and Your licenses related to the Services end. We may or may not delete Your Content associated with the Services or will otherwise disassociate it from You and Your account (unless We are required by Law to keep it or transfer it to You or a third party identified by You). As a result, You will no longer be able to access Your Content that you stored on the Services. You should have a backup plan.

5.5 Survival. The rights and obligations contained in Sections 2, 3, 6, 7, 8, 9, 10, and 11 shall survive any expiration or termination of this Agreement.


6. LIMITED WARRANTY AND DISCLAIMERS.

6.1 Limited Warranty. We warrant that the Services will function substantially in accordance with Our then-available specifications for the Services. Your sole and exclusive remedy for any breach of the foregoing warranty will be for Us to re-perform the Services in a manner that conforms to this warranty. If We are unable, or it is not commercially reasonable to correct the non-conformity, We may, at our discretion, terminate the Agreement and provide You a pro-rata refund of any prepaid fees for the applicable Term.

6.2 Disclaimers. Your use of, and any reliance upon, the Services or Our Information, including, but not limited to, any information, materials, downloaded applications, agronomic information, yield data, historical data, weather forecast, advice, commodity prices, or land valuation is at Your own risk. Some of the Services are location-specific and Services available in one location may not be available in another location. The results of any report, output, or recommendation from the Services are based, in large part, by completeness, timeliness, truth, and accuracy of Your Information. Any incorrect information inputted by You or Your Users will affect such report, output, or recommendation in a negative manner, potentially rendering them incorrect and/or damaging. Even if Your Information is complete, timely, true, and accurate, We do not warrant that any output, report, or recommendation made available by or through the Services will be correct, suitable, or useful for You or Your location, save You money or time, increase profits, increase yields, act as a substitute for sound field monitoring and management practices, or any other result or otherwise allow You to meet Your goals. You must use Your own judgment in determining whether to adopt, use, or comply, in whole or in part, with any report, output, or recommendation from the Services. Individual results may vary and are subject to a variety of environmental factors (e.g., weather, disease and pest pressure, soil type, moisture level, and management practices). We are not responsible for any of Your or Your Users’ acts or omissions resulting from Your or Your Users’ action or inaction resulting from such report, output, or recommendation. As the Services evolve, We may provide You and Your Users explanations on how the Services work and certain additional specific disclaimers. Any such specific disclaimers provided to any User, including through a notice made available within the Services, are incorporated by reference into this Agreement.

The Services and all of the text, images, and software and all services, products, and materials (including, without limitation, third party products and services, and submissions and creations) made available through or in connection with the Services are provided to You on an “as is”, “as available””, “with all faults”, and “where-is” basis. You understand that the use of the Services is at Your and Your Users’ own risk. Except as provided in the limited warranty in section 6.1, We provide no representations, warranties, or guarantees of any kind in connection with or regarding the Services, including but not limited to the suitability, truth, accuracy, timeliness, or completeness of any content, material, information, product, representation, or the Services. To the maximum extent permitted under applicable Law, We disclaim all representations, warranties, and guarantees, whether express or implied, statutory, or otherwise, including, but not limited to, any implied warranty or condition of quality, merchantability, fitness for a particular purpose, workmanlike effort, or non-infringement of third party rights, or those arising out of a course of dealing, custom, or usage of trade. You may have certain rights under local Law. Nothing in this Agreement is intended to affect those rights, if they are applicable. Specifically, except as provided in the limited warranty, We make no warranty, representation, or guarantee regarding the availability, accuracy, reliability, completeness, legality, security, satisfactory quality, or operability of the Services, any stored data or other information, functionalities, applications, or other features provided. You acknowledge that computer and telecommunications systems are not fault-free and occasional periods of downtime occur. We do not guarantee that the Services will be uninterrupted, timely, secure, or error-free or that Content loss won’t occur, nor do We guarantee any connection to or transmission from the computer networks. In the case of third party Content or services offered as part of the Services, our Affiliates, vendors, licensors, and third party service providers disclaim liability as described in this section as well.


7.1 Third Party Interaction and Links to Third Party Sites. In Your use of the Services, You may, through applications available through or with respect to the Services, link to other websites or to advertisements, enter into correspondence with, purchase goods and/or services from, or participate in promotions of third party advertisers, commerce providers, independent distributors, or other registered users. We are not responsible for the availability, accuracy, or security of such third party sites. Unless otherwise stated specifically by Us, any such correspondence, advertisement, purchase, or promotion, including the delivery of and the payment for goods and/or services, and any other term, condition, warranty, or representation associated with such correspondence, purchase, or promotion is solely between You and the applicable third party. You agree that We have no liability, obligation, or responsibility for any such correspondence, purchase, or promotion between You and any third party whatsoever.

The Services may be linked to other websites that are not under the control of or maintained by Us. Such links do not constitute an endorsement by Us of any such websites or the products or services offered through such websites. You acknowledge that We are providing these links to You only as a convenience. You agree that We are not responsible for the business practices, content, privacy policies or links displayed on such websites or products and services offered through such sites to which You may be linked. You agree that Your access to those websites is at Your sole risk.

7.2 From Third Parties to Us. All links to Our websites by third parties (“linking party”) must be approved in writing by Us. Please contact support@granular.ag to request approval.

As a condition to being permitted to link to Our Services, the linking party must agree that We may at any time, in Our sole discretion, terminate or revoke permission to link to the Services. In such event, the linking party agrees to immediately remove all links to the Services.

By linking to the Services, the linking party agrees to indemnify and hold Us safe and harmless from, and against, any and all losses, costs, damages, claims, actions, or liabilities arising from any such link. We shall have no liability for any indirect, exemplary, incidental, punitive, special, or consequential damages with regard to the linking or use of such link. Granular makes no warranties, express or implied, with respect to such links.


8. LIMITATION OF LIABILITY.

Under no circumstances and under no legal theory (whether in contract, tort, negligence, or otherwise) will We, Our Affiliates, or Our and Our Affiliates’ officers, directors, shareholders, employees, agents, suppliers, representatives, licensors, or third parties providing Services be liable to You, Your Users, or any third party for any indirect, incidental, special, exemplary, consequential, punitive, or other similar damages, including lost profits, lost sales or business, lost data, business interruption, or any other loss incurred by You or any third party arising out of, related to, or in connection with this Agreement or the use of, or inability to use, the Services, regardless of whether We have been advised of the possibility of or could have foreseen such damages.

Notwithstanding anything to the contrary in this Agreement or the failure of essential purpose of any limited remedy, if You have any basis for recovering damages (including breach of this Agreement), You agree that Your exclusive remedy is to recover from Us or Our (including Our and Our Affiliates’, officers’, directors’, shareholders’, employees’, agents’, suppliers’, representatives’, licensors’, and third party service providers’) direct damages up to an amount equal to the fees paid by You for the month during which the loss or breach occurred , or in the event You have not paid a fee, then $25.00 United States dollars. You cannot recover any other damages or losses. These limitations and exclusions apply even if this remedy doesn’t fully compensate You for any losses or fails for its essential purpose. To the maximum extent permitted by Law, these limitations and exclusions apply to anything or any claims related to this Agreement, the Services, or the software related to the Services. You acknowledge and agree that the essential purpose of this section 8 is to allocate the risks under this Agreement between the parties and limit potential liability given the fees, which would have been substantially higher if We were to assume any further liability other than as set forth herein. We have relied on these limitations in determining whether to provide You the rights to access and use the Services provided for in this Agreement.

Some jurisdictions do not allow the exclusion of implied warranties or limitation of liability for incidental or consequential damages, which means that some of the above limitations may not apply to You. In these jurisdictions, Our liability will be limited to the greatest extent permitted by applicable Law. If You are a resident of the European Union, We do not exclude or limit our liability for death or personal injury resulting from negligence.


9. DISPUTE RESOLUTION – BINDING ARBITRATION AGREEMENT, CLASS ACTION WAIVER, AND JURY TRIAL WAIVER

9.1 BINDING ARBITRATION AGREEMENT AND CLASS ACTION WAIVER. This binding arbitration agreement and class action waiver applies to Users living in (or, if a business, Your principal place of business is in) the United States and Users with United States operations or Users. You and We agree to resolve any and all disputes, controversies, or claims that in any way arise out of or relate to this Agreement or from any portion or aspect of the Services (“Dispute(s)”), only by arbitration on an individual basis. before the American Arbitration Associations (“AAA”) under the Federal Arbitration Act (“FAA”), and not to sue in court in front of a judge or jury. The term “Dispute” shall be interpreted as broadly as it can be and includes any claim or controversy between You and Us concerning the Services, the software related to the Services, the price of the Services, Your account, advertising, marketing, communications, Your purchase transaction, billing, or the terms of this Agreement, under any legal theory including contract, warranty, tort, statutory, or regulation, except disputes relating to the enforcement or validity of Your, Our, Our licensors’ intellectual property rights.

9.1.2 You understand that by agreeing to this Agreement, arbitration will be the sole and exclusive means of resolving any Dispute between You and Us. You also understand that by agreeing to this Agreement, You and We are giving up the right to bring a Dispute in court or in front of a jury (except for matters that may be brought in small claims court), and that You and We are giving up the right to proceed with any class action or other representative action. Instead, a neutral arbitrator will decide and the arbitrator’s decision will be final except for the limited right of review under the FAA. While arbitration procedures may be different than court procedures, an arbitrator can award You individually the same damages and relief as a court, and judgment on the award rendered by the arbitrator may be entered and enforced in any court with jurisdiction. You and We understand that absent this mandatory provision, You and We would have the right to sue in court and have a jury trial. You and We further understand that, in some instances, the costs of arbitration could exceed the costs of litigation and the right to discovery may be more limited in arbitration than in court.

9.1.3 As used in this section 9, “We”, “our”, and “Us” includes Granular, Inc. and its Affiliates.

ARBITRATION PROCEDURE.

  • 9.2.1 Notice of Dispute. If You or We intend to arbitrate a Dispute under this Agreement, the party seeking arbitration must first notify the other party of the dispute at least 60 days before initiating the arbitration. Notice to Us should be sent either may mail to Attn: Legal Dept., Corteva Agriscience, 7250 NW 62nd Avenue, Johnston, Iowa 50131 or to legalassist@granular.ag. Notice to You will be sent to Your email address and/or street address that We have in Our records at the time the notice is sent. The notice must tell Us Your name, address, how to contact You, what the problem is, and what You want. We will do the same if We have a Dispute with You. If You and We are not able to resolve the Dispute within 60 days, either You or We may start an arbitration.
  • 9.2.2 Timing of notice. You and We agree that the notice provided in section 9.2.1 must be provided within one (1) year after the cause or claim underlying the Dispute accrues. If the notice is not provided in that time, it is permanently barred.
  • 9.2.3 Arbitration Location. The FAA applies to this Agreement. All Disputes will be resolved by arbitration administered by the AAA. For more information, see www.adr.org or call 1-800-778-7879. The AAA will apply the Commercial Arbitration Rules to the arbitration of any Dispute pursuant to this Agreement, unless You are an individual and use the Services for personal use, in which case the AAA’s Consumer Arbitration Rules will apply (excluding any rules or procedures governing or permitting class actions). Procedures and fees relating to arbitration are available from the AAA. In the event of a conflict between this Agreement and the AAA’s Commercial Arbitration Rules or Consumer Arbitration Rules, this Agreement governs. In a Dispute involving $25,000 United States dollars or less, any hearing will be telephonic unless the arbitrator finds good cause to hold an in-person hearing instead. The arbitrator may award the same damages to You individually as a court could. The arbitrator may award declaratory judgment or injunctive relief only to You individually to satisfy Your individual claim. Under AAA Rules, the arbitrator rules on his or her own jurisdiction, including the arbitrability of any Dispute. But a court has exclusive authority to enforce the prohibition on arbitration on a class-wide basis or in a representative capacity.
  • 9.2.4 Arbitration Procedure. The Federal Arbitration Act applies to this Agreement. All Disputes will be resolved by arbitration administered by the American Arbitration Association (“AAA”). The AAA will apply the Commercial Arbitration Rules to the arbitration of any Dispute pursuant to these Terms, unless You are an individual and use the Services for personal use, in which case the AAA’s Consumer Arbitration Rules will apply (excluding any rules or procedures governing or permitting class actions). Procedures and fees relating to arbitration are available from the AAA (www.adr.org). In the event of a conflict between this Agreement and the AAA’s Commercial Arbitration Rules or Consumer Arbitration Rules, this Agreement governs.
  • 9.2.5 Arbitration Fees and Costs. You and We will equally share the fees and costs associated with the AAA. You are responsible for Your legal fees and expenses and We are responsible for Our legal fees and expenses.
  • 9.2.6 Severability. If a court of competent jurisdiction finds any part of this Agreement to arbitrate unenforceable, the court will reform the Agreement to the extent necessary to cure the unenforceable part(s), and You and We will arbitrate the Dispute(s) without reference to or reliance upon the unenforceable part(s).
  • 9.2.7 Rejecting Future Arbitration Changes. You may reject any change We make to section 9 (except address changes) by sending Us notice within 30 days of the change by U.S. Mail to the address noted in section 9.2.1. If You do, the most recent version of section 9 before the change You rejected will apply.

9.3 Jury Trial Waiver for United States customers and customers with United States Operations or Users. If for any reason a dispute proceeds in court rather than through arbitration, You and We agree that there will not be a jury trial. You and We unconditionally waive any right to trial by jury in any action, proceeding or counterclaim in any way arising out of or relating to this Agreement. In the event of litigation, this paragraph may be filed to show a written consent to a trial by the court.

9.4 Class Action Waiver for United States customers and customers with United States Operations or Users. This Agreement does not allow class or collective arbitrations, even if the arbitration procedures or rules would. Notwithstanding any other provision of these terms, the arbitrator may award money or injunctive relief only in favor of the individual party seeking relief and only to the extent necessary to provide the relief warranted by that party’s individual claim. Arbitration or court proceedings held under this Agreement cannot be brought, maintained or resolved on behalf of or by a class, as a private attorney-general, or in any other representative capacity. In addition, individual proceedings cannot be combined without the consent of all of the parties. Any question regarding the enforceability or interpretation of this section will be decided by a court and not the arbitrator.


10. INDEMNIFICATION

10.1 Indemnification by Us. We will defend You against any claim, demand, suit or proceeding made or brought against You by a third party alleging that the use of the Services in accordance with this Agreement infringes or misappropriates such third party’s intellectual property rights (a “Claim Against You”), and will indemnify You from: (a) any damages, awards or fees finally awarded against You or (b) for amounts paid by You under a court-approved settlement of, a Claim Against You, provided You promptly give Us written notice of the Claim Against You and give Us sole control of the defense and settlement of the Claim Against You (except that We may not settle any Claim Against You unless it unconditionally releases You of all liability). Additionally, You must provide Us all reasonable assistance, at Our expense. If We receive information about an infringement or misappropriation claim related to a Service, We may in Our sole discretion and at no cost to You (x) modify the Service so that it no longer infringes or misappropriates, without breaching warranties under Section 6.1, (y) obtain a license for Your continued use of that Service in accordance with this Agreement, or (z) terminate Your subscriptions for that Service upon thirty (30) days’ written notice and refund You pro-rata fees covering the remainder of the term of the terminated subscriptions. The above defense and indemnification obligations do not apply: (i) to the extent a Claim Against You arises from Your breach of this Agreement, (ii) if the Services you are accessing are provided free of charge, or (iii) if You use one or more Services in an infringing manner and a non-infringing manner of use is available.

10.2 Indemnification by You. You alone are responsible for Your actions related to the use of the Services or the actions of any person using Your credentials or Your computing device. As such, You will defend Us against any claim, demand, suit, or proceeding made or brought against Us or Our Affiliate by a third party relating in any way to Your, Your Users’ or any person using Your credentials or Your computing device: (a) breach of this Agreement; (b) use of the Services, the related software, or Our Information; (c) use of the Services, related software, or Our Information; (d) any allegation that Your Information, or Your or Your Users’ use of any Services, related software, or Our Information other than in conformance with this Agreement, infringes or misappropriates such third party’s intellectual property rights or violates applicable law (a “Claim Against Us”). You will indemnify Us from any: (y) damages, awards, penalties, or fees finally awarded against Us as a result of, and (z) for any amounts paid by Us under a court-approved settlement of, a Claim Against Us, provided We promptly give You written notice of the Claim Against Us, give You sole control of the defense and settlement of the Claim Against Us (except that You may not settle any Claim Against Us unless it unconditionally releases Us of all liability), and give You all reasonable assistance, at Your expense.

10.3 Exclusive Remedy. This Section 10 states the indemnifying party’s sole liability to, and the indemnified party’s exclusive remedy against, the other party for any type of claim described in this Section 10.


11. MISCELLANEOUS

11.1 Governing Law. This Agreement and all matters arising out of or relating to this Agreement shall be governed by the laws of the State of Iowa, without regard to its conflict of law provisions. If for any reason a Dispute proceeds in court rather than through arbitration, such Dispute may only be brought exclusively in the state or federal courts located in the State of Iowa. We and You hereby submit to the exclusive jurisdiction of, and agree that venue is proper in, those courts in any such legal action or proceeding, and waive all defenses relating to jurisdiction, venue, or that such court is an inconvenient forum. The parties specifically disclaim the U.N. Convention on Contracts for the International Sale of Goods.

11.2 Export Laws. You must comply with all domestic and international export laws and regulations that apply to the software and/or the Services, which include restrictions on destinations, end users, and end use.

11.3 Entire Agreement. This Agreement, including Additional Terms, constitutes the entire agreement between the parties regarding the subject hereof and supersedes all prior or contemporaneous agreements, understandings, and communication, whether written or oral.

11.4 Third Party Content. The Services may contain or enable access to third party content, software, services, or websites that are subject to different license terms, and Your use of those services is governed by the applicable terms. You are responsible for obtaining and complying with any necessary rights or licenses to third party content, software, services, or websites.

11.5 Service Access. You are responsible for and must provide all telephone and other equipment, software (other than any software provided by Us), hardware, and services (including internet access) necessary to access and utilize the Services.

11.6 Amendment. We may modify this Agreement at any time. Any and all changes will become effective when We post the revised Agreement on the Services. Your use of the Services following these changes means You accept the revised Agreement. If You do not consent to the revised Agreement, You must stop using the Services, and You may notify us to receive a prorated refund of any prepaid fees for unused Services.

11.7 Waiver. The waiver by Us of any default or breach of this Agreement shall not constitute a waiver of any other or subsequent default or breach.

11.8 Force Majeure. We shall not be responsible or liable in any way for Our failure to perform any of Our covenants or obligations under this Agreement if such failure results from events or circumstances reasonably beyond Our control.

11.9 Notices. We may periodically contact You or Your Users via email or other means to inform You or your Users about Services updates, special offers or other information that We believe may be valuable.

11.10 Severability. If any provision of this Agreement is found invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the other provisions of this Agreement will remain in force. The parties agree that neither party shall be deemed the drafter of this Agreement and, in the event any provision in this Agreement is alleged to be ambiguous, such provision will not be construed in favor of one party on the ground that the provision was drafted by the other party.

11.11 Relationship Between the Parties. Nothing in this Agreement shall be construed to create a partnership, joint venture, agency relationship, or similar busines relationship between the parties. Neither party is a legal representative of the other party, and neither party can assume or create any obligation, representation, warranty, or guarantee, express or implied, on behalf of the other party for any purpose whatsoever and will have no power to bind the other party without its prior written consent.

11.12 Assignment/Successors. You may not assign or transfer this Agreement, in whole or in part, without Our prior written consent, and if consent is provided, only if the assignee agrees in writing to be bound by the terms of the then-current version of this Agreement. Any attempted assignment or transfer in violation of this section will be null and void. Notwithstanding the foregoing, this Agreement shall inure to the benefit of the successors and permitted assigns of the parties.

11.13 Non-Exclusive Remedies. Except as set forth in this Agreement, the exercise by Us of any remedy under this Agreement will be without prejudice to Our other remedies under this Agreement or otherwise.

11.14 No Third-Party Beneficiaries. This Agreement is intended for the sole and exclusive benefit of You or Us and is not intended to benefit any third party. Only the parties to this Agreement may enforce it.

11.15 Compliance with Laws; Export Control. You agree that you will comply with all applicable laws. We provide the Services from Our headquarters in the United States of America. If You use the Services from outside the United States of America or Canada, You are entirely responsible for compliance with applicable local laws, including but not limited to export and import regulations.


DEFINITIONS:

“Affiliate” means any entity that directly or indirectly controls, is controlled by, or is under common control with the subject entity.

“Additional Terms” means any other terms that apply to Your use of the Services, such as terms specific to a particular Service, order form terms, invoice terms, and the Privacy Terms referenced herein.

“Aggregated Information” means a combination of information from various sources and may include Your Information or Other Information that does not personally identify You.

“Branding Material” means distinctive brand features including without limitation the unique symbol, design, and/or name unique to an entity.

“Competitor” means a company or organization that: (a) develops, sells, or distributes software or information management services to the agricultural community; (b) provides insurance and risk management in the agricultural sector, ; (c) provides lending services in the agricultural sector; (d) is an agricultural input supplier or distributor; (e) is an agricultural equipment supplier; (f) provides farmland real estate brokerage services; or (g) provides commodity market pricing information.

“Content” means the files, photos, documents, notes, audio, digital works, and videos uploaded, stored, broadcast, or shared through the Services.

“Effective Date” means the date that You first access the Services.

“Feedback” means feedback or ideas, including, without limitation, for new products, technologies, promotions, product names, product feedback and product improvement You or Your Users provide to Us relating to the Services or Our Information or any suggested improvements thereto.

“Law” means all constitutions, laws, statutes, ordinances, rules, regulations, permits, licenses, approvals, interpretations, and orders of courts or governmental authorities and all orders and decrees of all courts and arbitrators.

“Order Form” means any document specifying the Services to be provided that is entered into between Us and You, including any exhibits, addenda and supplements thereto. By entering into the Order Form, You agree to be bound by the terms of this Agreement as if the Order Form were an original part hereto.

“Other Information” means information weWe collect that may not specifically identify You, as further described in the Privacy Terms.

“Our Information” means any data provided by Us to You, including all Content, data, analysis, Aggregated Information, recommendations, or other information generated by or made available to You by or through the Services, excluding Your Information but including data that may be related to Your Information (for example, when Your Information is used to develop Aggregated Information and analysis).

“Personal Information” means information that identifies You as an individual or relates to an identifiable individual, as further described in the Privacy Terms.

“Services” means Our products, services, websites, software applications, documentation, and other Content provided by Us to You.

“Taxes” means taxes, duties, levies, tariffs, and other governmental charges (other than Our income tax) associated with the sale of the Services, including any related penalties or interest.

“User(s)” means an individual (s) who are authorized by You to use the Services, to whom You (or We at Your request) may have supplied login credentials or have permitted to access the Services on Your behalf. Users may include, for example, Your employees, consultants, contractors, representatives, and agents, or third parties, including Certified Services Agents, who sell Our Services and enter information for You, with whom you transact.

“You” or “Your” mean the individual(s), company(ies), or other legal entity(ies) for which You are accepting this Agreement, and Affiliates of that company(ies), entity(ies).

“Your Information” means information We collect or have access to when You or Your agent, such as a certified sales agent or duly authorized representative, submit(s) the information while using or subscribing to the Services and may include Personal Information or Other Information, each as defined herein and further described in the Privacy Terms.

Os termos em letras maiĂșsculas utilizados neste documento sĂŁo termos definidos, e as definiçÔes podem ser encontradas no final deste Contrato.

AO UTILIZAR OU ACESSAR O SOFTWARE, VOCÊ CONCORDA COM OS TERMOS DESTE CONTRATO. SE VOCÊ ESTIVER CELEBRANDO ESTE CONTRATO EM NOME DE UMA EMPRESA OU DE OUTRA PESSOA JURÍDICA, VOCÊ ESTÁ ACEITANDO ESTES TERMOS EM NOME DAQUELA ENTIDADE E REPRESENTANDO QUE VOCÊ TEM AUTORIDADE PARA VINCULAR A ENTIDADE, CASO EM QUE “VOCÊ” SE REFERE À ENTIDADE E ÀS SUAS AFILIADAS. CASO VOCÊ NÃO TENHA TAL AUTORIDADE, NÃO TIVER 18 ANOS OU MAIS, OU NÃO CONCORDAR COM ESTES TERMOS, VOCÊ NÃO PODE UTILIZAR O SOFTWARE. NA EXTENSÃO PERMITIDA PELA LEI APLICÁVEL, ESTE CONTRATO LIMITA OS RECURSOS QUE PODEM ESTAR DISPONÍVEIS PARA VOCÊ EM CASO DE CONTROVÉRSIA. Termos aplicáveis podem se aplicar ao Software e são incorporados neste Contrato e regem Seu uso do Software.

VocĂȘ nĂŁo deve acessar o Software se VocĂȘ for Nosso Concorrente, exceto com Nosso consentimento prĂ©vio por escrito. AlĂ©m disso, VocĂȘ nĂŁo pode acessar o Software para propĂłsitos de monitoramento de desempenho ou funcionalidade, mostrando o Software ou Nossas InformaçÔes para qualquer Concorrente ou terceiro nĂŁo regido por este Contrato ou para quaisquer propĂłsitos de benchmarking ou competitivos.


1. USO DO SOFTWARE.

1.1. Uso Permitido. Sujeitos aos termos deste Contrato, incluindo seus Termos Adicionais, NĂłs concedemos a VocĂȘ o direito limitado e nĂŁo exclusivo de utilizar e acessar o Software e Nossas InformaçÔes para Seu uso pessoal ou para propĂłsitos comerciais internos. VocĂȘ pode criar contas de UsuĂĄrio para o Software aplicĂĄvel, e VocĂȘ Ă© responsĂĄvel por gerenciar todas as contas de UsuĂĄrios e para qualquer atividade que ocorrer nas contas do UsuĂĄrio.

1.2. RestriçÔes. VocĂȘ e Seus UsuĂĄrios nĂŁo podem: (a) copiar, distribuir, modificar, editar, criar obras derivadas, desmontar, usar engenharia reversa, ou descompilar qualquer porção do Software e de seu cĂłdigo de software e funcionalidade, (b) ceder, transferir, ou sublicenciar Seus direitos ao Software ou Nossas InformaçÔes, ou utilizar o Software ou Nossas InformaçÔes em nome ou para o benefĂ­cio de um terceiro que nĂŁo sejam Seus UsuĂĄrios, incluindo qualquer agĂȘncia de serviços ou arranjo de timesharing, (c) uso do Software ou Nossas InformaçÔes para propĂłsitos de comparação competitiva ou de desenvolvimento competitivo, (d) uso de Software ou Nossas InformaçÔes de qualquer forma que viole a lei ou se destine a violar a privacidade de um terceiro ou ameaçar ou difamar um terceiro, (e) interferir com a integridade do desempenho do Software, (f) acessar ou tentar acessar qualquer Software ou Nossas InformaçÔes que VocĂȘ nĂŁo tenha o direito de acessar, (g) permitir que qualquer parte nĂŁo autorizada acesse Nossas InformaçÔes ou Sua instĂąncia do Software, (h) uso de qualquer conteĂșdo de terceiros ou Software disponĂ­veis atravĂ©s do Software separadamente do Software. VocĂȘ deve Nos notificar prontamente caso suspeite ou tenha conhecimento de quaisquer violaçÔes aos termos do Contrato, e VocĂȘ concorda em cooperar conosco em qualquer investigação de tais potenciais violaçÔes ou execução dos termos do Contrato.


2. DADOS, INFORMAÇÕES DA CONTA, E CONFIDENCIALIDADE

  • Privacidade dos Dados. NĂłs trataremos InformaçÔes Pessoais e outras InformaçÔes de acordo com Nossos Termos de Privacidade.
  • Confidencialidade. A confidencialidade de Suas InformaçÔes Pessoais Ă© tratada nos Termos de Privacidade referidos acima. O Software e as formas nas quais Nossas InformaçÔes sĂŁo geradas constituem segredos comerciais valiosos e, geralmente, nĂŁo sĂŁo de conhecimento pĂșblico. VocĂȘ tratarĂĄ o Software e Nossas InformaçÔes como confidenciais e nĂŁo compartilharĂĄ o Software ou Nossas InformaçÔes com quaisquer terceiros nĂŁo autorizados a acessar o Software.
  • ExatidĂŁo das InformaçÔes da Conta. Quando VocĂȘ cria uma conta para o Software, VocĂȘ pode ser solicitado a fornecer determinadas informaçÔes como endereço de e-mail, nome de tela, localização, outras informaçÔes do usuĂĄrio. Ao inserir estas informaçÔes, VocĂȘ garante que tais informaçÔes sĂŁo verdadeiras e exatas. Por exemplo, VocĂȘ nĂŁo associarĂĄ regiĂŁo ou equipamentos que nĂŁo sejam de sua propriedade ou tenha direito de acessar com o Software. VocĂȘ tambĂ©m concorda em atualizar tais informaçÔes em caso de mudança a qualquer momento enquanto estiver utilizando o Software.
  • Credenciais de Acesso. Quando VocĂȘ cria uma conta para um determinado Software, VocĂȘ pode ser solicitado a fornecer um nome de usuĂĄrio e uma senha. VocĂȘ e Seus UsuĂĄrios sĂŁo responsĂĄveis por manter a confidencialidade de Suas credenciais de acesso e impedir que outras pessoas utilizem suas credenciais de acesso para acessar o Software. VocĂȘ Ă© exclusivamente responsĂĄvel pelas atividades de qualquer pessoa que acesse o Software utilizando Suas credenciais de acesso. VocĂȘ deve Nos notificar prontamente sobre qualquer uso nĂŁo autorizado de Suas credenciais de acesso ou do Software e mudar imediatamente Sua senha caso Sua conta tenha sido comprometida.

3. DIREITOS DE PROPRIEDADE INTELECTUAL

  • Nossos direitos. NĂłs, ou terceiros que tenham Nos concedido direitos, possuĂ­mos e devemos reter todos os direitos, tĂ­tulo, e interesse (incluindo quaisquer direitos de propriedade intelectual associados) em e para: (a) o Software e todos os obras derivadas, modificaçÔes e aperfeiçoamentos do Software, (b) Nossas InformaçÔes, e (c) Nosso Material de Branding. NĂłs nĂŁo concedemos a VocĂȘ quaisquer direitos acima a nĂŁo ser aqueles explicitamente apresentados neste Contrato.
  • Feedback. VOCÊ CONCORDA QUE QUALQUER FEEDBACK SERÁ NOSSA PROPRIEDADE EXCLUSIVA. NA EXTENSÃO EM QUE VOCÊ POSSUA QUAISQUER DIREITOS SOBRE O FEEDBACK, VOCÊ CONCORDA EM CEDER E POR MEIO DESTE CEDE A NÓS TODOS OS DIREITOS, TÍTULO E INTERESSE NO E PARA O FEEDBACK. VOCÊ CONCORDA EM REALIZAR TODOS OS ATOS RAZOAVELMENTE SOLICITADOS POR NÓS PARA APERFEIÇOAR E EXECUTAR TAIS DIREITOS.
  • Seus direitos. VOCÊ POSSUI SUAS INFORMAÇÕES, E, SUJEITO AOS TERMOS DE PRIVACIDADE, VOCÊ NOS CONCEDE UMA LICENÇA NÃO EXCLUSIVA PARA ACESSAR, UTILIZAR, REPRODUZIR, EXIBIR, MODIFICAR E PREPARAR OBRAS DERIVADAS COM BASE EM SUAS INFORMAÇÕES PESSOEAIS OU OUTRAS INFORMAÇÕES PARA O PROPÓSITO DE FORNECER, MELHORAR E APERFEIÇOAR O SOFTWARE. VOCÊ POSSUI SEU MATERIAL DE BRANDING. VOCÊ NOS CONCEDE UMA LICENÇA NÃO EXCLUSIVA, INTRANSFERÍVEL, PARA UTILIZAR SEU MATERIAL DE BRANDING NO FORNECIMENTO DO SOFTWARE, PUBLICAÇÃO DE MATERIAL EM NOSSO WEBSITE, E PRODUÇÃO DE MATERIAIS DE MARKETING PARA PROMOVER NOSSOS PRODUTOS E O SOFTWARE, QUE PODE INCLUIR A REVELAÇÃO DE SUA RELAÇÃO CONOSCO.

4. REMUNERAÇÃO E PAGAMENTOS

  • Remuneração. VocĂȘ deve ser responsĂĄvel pelo pagamento de todos os valores relacionados aos direitos concedidos uma vez que estes podem ser estabelecidos em qualquer FormulĂĄrio de Pedido do Software associado com este Contrato. Os valores de remuneração serĂŁo revelados e avaliados, conforme necessĂĄrio, de acordo com Nossos procedimentos, e NĂłs podemos mudar estes valores de remuneração ao Nosso exclusivo critĂ©rio periodicamente.
  • Tributos. VocĂȘs sĂŁo responsĂĄveis por quaisquer Tributos e Nos pagarĂŁo pelo Software sem qualquer redução destas quantias. Se NĂłs formos obrigados a coletar ou pagar Tributos, NĂłs incluiremos estes Tributos em Nossa fatura, a menos que VocĂȘ Nos forneça um certificado de isenção de tributos vĂĄlido, autorizado pela autoridade fiscal apropriada. Se a lei exigir que VocĂȘ retenha quaisquer Tributos de Seus pagamentos a NĂłs, VocĂȘ deve Nos fornecer documentação oficial para sustentar tal retenção.
  • Faturas; Pagamento; Pagamento em Atraso. Todas as quantias sĂŁo devidas e pagĂĄveis mediante Seu recebimento de Nossa fatura ou outro mĂ©todo de cobrança para uso do Software, a menos que declarado de outra forma em extratos de cobrança. Juros caberĂŁo sobre quantias vencidas a mais de quinze (15) dias na taxa de um por cento (1%) por mĂȘs na maior taxa de juros permitida pela lei, calculados a partir da data do vencimento de tal quantia. VocĂȘ deve Nos reembolsar pelos custos razoĂĄveis de cobrança, incluindo as taxas legais.

5. PRAZO E RESCISÃO

  • Prazo. Este Contrato deve ter inĂ­cio na Data de VigĂȘncia e continuarĂĄ atĂ© a expiração ou rescisĂŁo de Seu uso de todo o Software. O prazo inicial e os perĂ­odos de renovação sĂŁo coletivamente o “Prazo”.
  • RescisĂŁo. Se VocĂȘ desejar rescindir sua Relação Conosco, VocĂȘ deve nos notificar por e-mail em: privacy.br@granular.ag e nos fornecer qualquer informação adicional da conta necessĂĄria para rescindir Nossa relação com VocĂȘ. Este Contrato pode ser rescindido por VocĂȘ ou por NĂłs por justa causa (i) mediante notificação por escrito em trinta (30) dias para a outra parte por violação caso a violação continue nĂŁo resolvida na expiração de tal perĂ­odo, ou (ii) mediante notificação com efeito imediato, se a outra parte se tornar sujeito de um requerimento de falĂȘncia ou de qualquer outro processo relativo Ă  insolvĂȘncia, liquidação judicial, liquidação ou cessĂŁo em benefĂ­cio de credores. AlĂ©m disso, caso Tenhamos conhecimento de uso inadequado ou nĂŁo autorizado do Software por VocĂȘ ou por Seus UsuĂĄrios, NĂłs podemos responder de qualquer forma que, ao Nosso exclusivo critĂ©rio, NĂłs consideremos apropriado, que pode incluir a rescisĂŁo deste Contrato sem aviso.
  • Direitos e ObrigaçÔes Mediante RescisĂŁo. Mediante a expiração ou rescisĂŁo deste Contrato, VocĂȘ e Seus UsuĂĄrios nĂŁo devem mais acessar o Software, e Suas licenças ao Software serĂŁo imediatamente rescindidas.
  • SubsistĂȘncia. Os direitos e obrigaçÔes contidas nas SeçÔes 2, 3, 6, 7, 8, 9.1, 9.3, 9.8 e 9.4 devem subsistir a qualquer expiração ou rescisĂŁo deste Contrato.

6. LIMITAÇÃO DE GARANTIA E ISENÇÕES DE RESPONSABILIDADE.

  • Limitação de Garantia. NĂłs garantimos que o Software funcionarĂĄ substancialmente de acordo com Nossas especificaçÔes disponĂ­veis na Ă©poca para o Software. Seu Ășnico e exclusivo recurso para qualquer violação da garantia mencionada acima serĂĄ para que NĂłs resolvamos o erro do Software de forma que esteja em conformidade com esta garantia. Caso nĂŁo consigamos, ou nĂŁo seja comercialmente razoĂĄvel corrigir a nĂŁo conformidade, NĂłs podemos, ao Nosso critĂ©rio, rescindir o Contrato e oferecer a VocĂȘ um reembolso prĂł-rata de quaisquer valores prĂ©-pagos em prazo aplicĂĄvel.
  • IsençÔes de responsabilidade. Seu uso, e qualquer confiança, no Software ou em Nossas InformaçÔes, incluindo, mas nĂŁo se limitando a quaisquer informaçÔes, materiais, aplicativos baixados, informaçÔes agronĂŽmicas, dados de campo, previsĂ”es do tempo, aconselhamento e preços de mercadorias, ou avaliação de terreno Ă© um risco exclusivamente Seu. O software Ă© especĂ­fico do local e determinadas caracterĂ­sticas disponĂ­veis em uma localização podem nĂŁo estar disponĂ­veis em outra. Os resultados de qualquer relatĂłrio, emissĂŁo ou recomendação do Software sĂŁo baseados, em grande parte, pela integralidade, veracidade e exatidĂŁo de Suas InformaçÔes. Qualquer informação incorreta inserida por vocĂȘ ou por Seus UsuĂĄrios afetarĂĄ tal relatĂłrio, emissĂŁo ou recomendação de forma negativa, tornando-as potencialmente incorretas e prejudiciais. Mesmo que Suas InformaçÔes sejam verdadeiras e exatas, NĂłs nĂŁo garantimos que qualquer emissĂŁo, relatĂłrio ou recomendação disponibilizada atravĂ©s do Software sejam processadas corretamente, economize Seu dinheiro, aumente os lucros, aumente os rendimentos ou qualquer outro resultado ou, de outra forma, permita que VocĂȘ atinja Seus objetivos. VocĂȘ deve utilizar Seu julgamento profissional para determinar se deve seguir qualquer relatĂłrio ou emissĂŁo do Software. NĂłs nĂŁo somos responsĂĄveis por quaisquer de Seus atos ou omissĂ”es resultantes de Sua ação ou falta de ação resultante de tal relatĂłrio ou emissĂŁo. Na medida em que o Software evolui, NĂłs podemos fornecer a VocĂȘ e a Seus UsuĂĄrios explicaçÔes sobre como o Software funciona e determinadas isençÔes de responsabilidade especĂ­ficas adicionais. Quaisquer destas isençÔes de responsabilidade especĂ­ficas fornecidas a qualquer UsuĂĄrio, inclusive atravĂ©s de uma notificação disponibilizada dentro do Software, sĂŁo incorporadas como referĂȘncia a este Contrato.

O Software Ă© fornecido a VocĂȘ “na forma como se encontra”, “na forma como foi disponibilizado” e “onde se encontra”. Exceto conforme apresentado na garantia limitada na seção 6.1, NĂłs nĂŁo fornecemos representaçÔes, garantias, ou compromissos de qualquer tipo em conexĂŁo ou em relação ao Software, incluindo, mas nĂŁo se limitando Ă  adequabilidade, veracidade, exatidĂŁo ou integralidade de qualquer conteĂșdo, material, informação, produto, representação, ou Software. Na extensĂŁo mĂĄxima permitida de acordo com a lei aplicĂĄvel, NĂłs nos isentamos de todas as representaçÔes, garantias e compromissos, sejam expressos ou implĂ­citos, estatutĂĄrios ou de outra forma, incluindo, mas nĂŁo se limitando a qualquer garantia implĂ­cita ou condição de qualidade, comerciabilidade, adequação para um propĂłsito particular, ou nĂŁo violação de direitos de terceiros, ou aqueles que surjam a partir de um ciclo de comercialização, personalização, ou negociação. Especificamente, exceto conforme apresentado na garantia limitada, NĂŁo damos garantia, representação nem assumimos compromisso com relação Ă  disponibilidade, exatidĂŁo, confiabilidade, integralidade, legalidade, segurança ou operabilidade do Software, quaisquer dados armazenados ou outras informaçÔes, funcionalidades, aplicaçÔes ou outras caracterĂ­sticas fornecidas. Em caso de conteĂșdo de terceiro ou Software oferecido como parte do Software, nossos prestadores de serviços a terceiros nĂŁo assumem responsabilidade conforme descrito nesta seção tambĂ©m.

7. LIMITAÇÃO DE RESPONSABILIDADE.

SOB NENHUMA CIRCUNSTÂNCIA E SOB NENHUMA TEORIA LEGAL (SEJA NO CONTRATO, ATO ILÍCITO, NEGLIGÊNCIA OU DE OUTRA FORMA) NÓS, OU NOSSAS AFILIADAS, DIRIGENTES, DIRETORES, FUNCIONÁRIOS, AGENTES, FORNECEDORES, LICENCIADORES, OU TERCEIROS QUE FORNECEM CARACTERÍSTICAS PARA O SOFTWARE, SEREMOS RESPONSÁVEIS POR VOCÊ OU POR QUALQUER TERCEIRO POR DANOS INDIRETOS, INCIDENTAIS, ESPECIAIS, EXEMPLARES, CONSEQUENTES, PUNITIVOS OU OUTROS DANOS SEMELHANTES, INCLUINDO A PERDA DE LUCRO, A PERDA DE VENDAS OU DE NEGÓCIOS, A PERDA DE DADOS, A INTERRUPÇÃO DOS NEGÓCIOS OU POR QUALQUER OUTRA PERDA INCORRIDA POR TAL PARTE OU POR TERCEIROS QUE SURJAM COMO RESULTADO OU EM CONEXÃO COM ESTE CONTRATO OU COM O USO, OU INCAPACIDADE DE UTILIZAR, O SOFTWARE, INDEPENDENTE DE TERMOS SIDO ACONSELHADOS SOBRE A POSSIBILIDADE OU PUDÉSSEMOS TER PREVISTO TAIS DANOS.

NÃO OBSTANTE QUALQUER DISPOSIÇÃO EM CONTRÁRIO A ESTE CONTRATO OU À FALHA DE PROPÓSITO ESSENCIAL DE QUALQUER RECURSO LIMITADO, NOSSA (INCLUINDO NOSSAS AFILIADAS, DIRIGENTES, DIRETORES, FUNCIONÁRIOS, AGENTES, FORNECEDORES, LICENCIADORES, E PRESTADORES DE SERVIÇOS A TERCEIROS), RESPONSABILIDADE COM RELAÇÃO A VOCÊ OU QUALQUER TERCEIRO QUE VENHA A SURGIR COMO RESULTADO DESTE CONTRATO OU, DE OUTRA FORMA, EM CONEXÃO COM QUALQUER SUBSCRIÇÃO, OU USO OU EMPREGO DO SOFTWARE, EM NENHUMA CIRCUNSTÂNCIA EXCEDERÁ OS ENCARGOS DE SUBSCRIÇÃO PAGOS POR VOCÊ DURANTE DOZE (12) MESES ANTES DO PRIMEIRO EVENTO OU OCORRÊNCIA QUE DÊ ORIGEM A TAL RESPONSABILIDADE, OU CASO VOCÊ NÃO TENHA PAGO UM TRIBUTO, ENTÃO, R$ 100,00. VOCÊ RECONHECE E CONCORDA QUE O PROPÓSITO ESSENCIAL DESTA SEÇÃO 7 É ALOCAR OS RISCOS DE ACORDO COM ESTES TERMOS ENTRE AS PARTES E LIMITAR A RESPONSABILIDADE POTENCIAL, DADOS OS ENCARGOS DE SUBSCRIÇÃO, QUE TERIAM SIDO SUBSTANCIALMENTE MAIORES SE TIVÉSSEMOS QUE ASSUMIR QUAISQUER RESPONSABILIDADES ADICIONAIS QUE NÃO FOSSEM AQUELAS ESTABELECIDAS NESTE INSTRUMENTO. NÓS NOS BASEAMOS NESTAS LIMITAÇÕES PARA DETERMINAR O FORNECIMENTO A VOCÊ DOS DIREITOS DE ACESSAR E UTILIZAR O SOFTWARE ESTABELECIDO NESTE CONTRATO.

ALGUMAS JURISDIÇÕES NÃO PERMITEM A EXCLUSÃO DE GARANTIAS IMPLÍCITAS OU LIMITAÇÃO DE RESPONSABILIDADE POR DANOS INCIDENTES OU CONSEQUENTES, O QUE SIGNIFICA QUE ALGUMAS DAS LIMITAÇÕES ACIMA PODEM NÃO SER APLICÁVEIS A VOCÊ. NESTAS JURISDIÇÕES, NOSSA RESPONSABILIDADE SERÁ LIMITADA À MAIOR EXTENSÃO PERMITIDA PELA LEI.

8. INDENIZAÇÃO

8.1 Indenização por NĂłs. NĂłs defenderemos VocĂȘ contra qualquer reivindicação, demanda, ação ou processo feito ou movido contra VocĂȘ por um terceiro alegando que o uso do Software de acordo com este Contrato infringe ou desvia direitos de propriedade intelectual de terceiros (uma “Reivindicação Contra VocĂȘ”), e o(a) indenizaremos contra: (a) quaisquer danos, sentenças ou impostos finalmente imputados a VocĂȘ ou (b) pelas quantias pagas por VocĂȘ mediante acordo aprovado por um tribunal, uma Reivindicação Contra VocĂȘ, desde que VocĂȘ nos apresente notificação por escrito da Reivindicação Contra VocĂȘ e Nos dĂȘ exclusivo controle da defesa e acordo da Reivindicação Contra VocĂȘ (ressalvando que NĂłs podemos nĂŁo solucionar qualquer Reivindicação Contra VocĂȘ a menos que a mesma libere VocĂȘ incondicionalmente de toda a responsabilidade). Adicionalmente, VocĂȘ deve fornecer a NĂłs toda a assistĂȘncia razoĂĄvel, Ă  Nossa custa. Se NĂłs recebermos informaçÔes sobre uma reivinicação de violação ou apropriação indevida relativas ao Software, NĂłs podemos, ao Nosso exclusivo critĂ©rio e sem custo para vocĂȘ (a) modificar o Software de forma que ele nĂŁo mais infrinja ou aproprie indevidamente, sem quebra de garantia de acordo com a Seção 6.1, (b) obter uma licença para Seu uso contĂ­nuo de forma que o Software de acordo com este Contrato, ou (c) rescindir Suas subscriçÔes para aquele Software mediante notificação escrita de trinta (30) dias e reembolsĂĄ-lo(a) dos valores prĂł-rata cobrindo o restante do prazo das subscriçÔes rescindidas. As obrigaçÔes de defesa e indenização acima nĂŁo se aplicam: (i) na extensĂŁo em que uma Reivindicação Contra VocĂȘ surgir de Sua quebra deste Contrato, (ii) se os mĂłdulos do Software que vocĂȘ estĂĄ acessando forem fornecidos gratuitamente, ou (iii) se VocĂȘ utilizar um ou mais mĂłdulos do Software de maneira indevida e se uma forma de uso nĂŁo indevida estiver disponĂ­vel.

8.2 INDENIZAÇÃO POR VOCÊ. VOCÊ SOZINHO(A) É RESPONSÁVEL POR SUAS AÇÕES RELACIONADAS AO USO DO SOFTWARE OU PELAS AÇÕES DE QUALQUER PESSOA QUE UTILIZE SUAS CREDENCIAIS OU SEU DISPOSITIVO DE COMPUTAÇÃO. COMO TAL, VOCÊ NOS DEFENDERÁ CONTRA QUALQUER REIVINDICAÇÃO, DEMANDA, AÇÃO OU PROCESSO FEITO OU MOVIDO CONTRA NÓS POR UM TERCEIRO RELACIONADO DE QUALQUER FORMA A: (A) SUA VIOLAÇÃO DESTE CONTRATO; (B) SEU USO DO SOFTWARE; (C) O USO DO SOFTWARE OU DE SUAS INFORMAÇÕES POR QUALQUER USUÁRIO OU PESSOA QUE UTILIZE SUAS CREDENCIAIS OU SEU DISPOSITIVO DE COMPUTAÇÃO; (D) QUALQUER ALEGAÇÃO DE QUE SUAS INFORMAÇÕES, OU O SEU USO DO SOFTWARE OU DE NOSSAS INFORMAÇÕES, EXCETO EM CONFORMIDADE COM ESTE CONTRATO, INFRINGE OU DESVIA TAIS DIREITOS DE PROPRIEDADE INTELECTUAL DE TERCEIROS OU VIOLA A LEI APLICÁVEL (UMA “REIVINDICAÇÃO CONTRA NÓS”). VOCÊ NOS INDENIZARÁ POR QUAISQUER: (A) DANOS, SENTENÇAS OU VALORES EVENTUALMENTE IMPUTADOS A NÓS COMO RESULTADO, E (B) POR QUAISQUER QUANTIAS PAGAS POR NÓS DE ACORDO COM UM ACORDO APROVADO POR UM TRIBUNAL, UMA REIVINDICAÇÃO CONTRA NÓS, DESDE QUE NÓS APRESENTEMOS A VOCÊ PRONTAMENTE UMA NOTIFICAÇÃO POR ESCRITO DA REIVINDICAÇÃO CONTRA NÓS, LHES DERMOS CONTROLE EXCLUSIVO DA DEFESA E ACORDO DA REIVINDICAÇÃO CONTRA NÓS (EXCETO QUE VOCÊ PODE NÃO RESOLVER QUALQUER REIVINDICAÇÃO CONTRA NÓS A MENOS QUE ELA NOS LIBERE INCONDICIONALMENTE DE TODA RESPONSABILIDADE), E LHE DERMOS TODA ASSISTÊNCIA RAZOÁVEL, ÀS SUAS CUSTAS.

8.3 RECURSO EXCLUSIVO. ESTA SEÇÃO 8 ESTABELECE A RESPONSABILIDADE EXCLUSIVA DA PARTE INDENIZADORA PARA, E O RECURSO EXCLUSIVO DA PARTE INDENIZADA CONTRA, A OUTRA PARTE POR QUALQUER TIPO DE REIVINDICAÇÃO DESCRITA NESTA SEÇÃO 8.


9. DISPOSIÇÕES GERAIS

9.1 Lei AplicĂĄvel e Jurisdição. Este Contrato e todas as questĂ”es que venham a surgir ou que estejam relacionadas a este Contrato devem ser regidas pelas leis do Brasil, independente de conflito com as disposiçÔes da leis estrangeiras. Quaisquer e todas as disputas, controvĂ©rsias ou reivindicaçÔes que, de qualquer forma surjam ou se relacionem a este Contrato ou do Software (ou de qualquer publicidade do Software) (“Disputa(s)”) sĂł podem ser apresentadas e devem ser resolvidas exclusivamente na cidade de SĂŁo Paulo, SP. NĂłs e VocĂȘ submetemos por meio deste instrumento Ă  jurisdição exclusiva, e concordamos que o foro Ă© adequado, naqueles tribunais em qualquer ação ou processo legal, e abrimos mĂŁo de todas as defesas relativas Ă  jurisdição, foro, ou que tal tribunal Ă© um foro incompetente.

9.2 Acordo Integral. Este Contrato, incluindo Termos Adicionais, constitui o acordo integral entre as partes com relação ao objeto do presente e substitui todos os acordos, entendimentos, e comunicação anteriores ou contemporùneos, sejam escritos ou orais.

9.3 ConteĂșdo de Terceiros. O Software pode conter ou permitir acesso a conteĂșdo, software, serviços ou websites de terceiros que estejam sujeitos a diferentes termos de licença, e Seu uso de tal conteĂșdo, software, serviços ou websites Ă© regido pelos termos aplicĂĄveis. VocĂȘ Ă© responsĂĄvel por obter e satisfazer quaisquer direitos ou licenças necessĂĄrios ao conteĂșdo, software, serviços ou websites de terceiros.

9.4 Acesso ao Software. VocĂȘ Ă© responsĂĄvel e deve fornecer todos os telefones e outros equipamentos, software (outros que nĂŁo sejam qualquer software fornecido por NĂłs), hardware, e serviços (incluindo o acesso Ă  internet) necessĂĄrios para acessar e utilizar o Software.

9.5 Alteração. NĂłs podemos modificar este Contrato a qualquer momento e VocĂȘ serĂĄ notificado(a) por e-mail. Quaisquer e todas as mudanças entrarĂŁo em vigor quando NĂłs publicarmos o Contrato revisado no Site. O Seu uso do Software depois destas mudanças significa que VocĂȘ aceita o Contrato revisado. Caso VocĂȘ nĂŁo consinta com o Contrato revisado, VocĂȘ deve parar de utilizar o Software, solicitar o cancelamento da subscrição do Software a NĂłs e VocĂȘ pode nos notificar para receber um reembolso prĂł-rata pelo Software nĂŁo utilizado.

9.6 RenĂșncia. A renĂșncia, por NĂłs, de qualquer descumprimento ou violação deste Contrato nĂŁo deve constituir uma renĂșncia de qualquer outro incumprimento ou violação.

9.7 Força Maior. Nós não seremos responsåveis ou responsabilizados de qualquer forma por Nossa falha em cumprir quaisquer de Nossos compromissos ou obrigaçÔes estabelecidos neste Contrato se tal falha resultar de eventos ou circunstùncias razoavelmente além de Nosso controle.

9.8 NotificaçÔes. NĂłs podemos, periodicamente, entrar em contato com VocĂȘ ou com Seus UsuĂĄrios por e-mail ou por outros meios para informĂĄ-lo(a) ou a Seus UsuĂĄrios sobre atualizaçÔes do produto, ofertas especiais ou outras informaçÔes que NĂłs acreditamos que sejam valiosas.

9.9 IndependĂȘncia das DisposiçÔes Contratuais. Se qualquer disposição deste Contrato for invĂĄlida ou inexequĂ­vel, aquela disposição serĂĄ aplicada na extensĂŁo mĂĄxima permitida, e as outras disposiçÔes deste Contrato permanecerĂŁo em vigor. As partes concordam que nenhuma parte deve ser considerada como redatora deste Contrato e, caso qualquer disposição deste Contrato seja considerada ambĂ­gua, tal disposição nĂŁo serĂĄ interpretada a favor de uma parte com base no fato de que a disposição foi redigida pela outra parte.

9.10 Relacionamento Entre as Partes. Nada neste Contrato deve ser interpretado de forma a criar uma parceria, joint venture, ou relacionamento de agĂȘncia entre as partes. Nenhuma parte terĂĄ o poder de vincular Ă  outra ou incorrer obrigaçÔes em nome da outra sem seu consentimento prĂ©vio por escrito.

9.11 CessĂŁo/Sucessores. VocĂȘ nĂŁo pode ceder ou transferir este Contrato, no todo ou em parte, sem Nosso consentimento prĂ©vio por escrito, e se o consentimento for fornecido, somente se o cessionĂĄrio concordar por escrito em ser vinculado pelos termos do Contrato. Qualquer tentativa de cessĂŁo ou transferĂȘncia em violação a esta Seção serĂĄ nula e sem feito. NĂŁo obstante o exposto anteriormente, este Contrato deve reverter em benefĂ­cio dos sucessores e cessionĂĄrios autorizados pelas partes.

9.12 Recursos NĂŁo Exclusivos. Exceto conforme estabelecido neste Contrato, o exercĂ­cio por NĂłs de qualquer recurso nos termos deste Contrato sem prejuĂ­zo de Nossos outros recursos nos termos deste Contrato ou de outro modo estabelecido entre as partes.

9.13 Nenhum Terceiro BeneficiĂĄrio. Este Contrato se destina ao Seu e Nosso benefĂ­cio Ășnico e exclusivo e nĂŁo se destina a beneficiar qualquer terceiro. Somente as partes integrantes deste Contrato podem executĂĄ-lo.

9.14 Conformidade com as Leis. VocĂȘ Ă© totalmente responsĂĄvel pela conformidade com as leis locais aplicĂĄveis, incluindo, mas nĂŁo se limitando Ă s normas de exportação e importação.

10. DEFINIÇÕES:

10.1. Ao longo deste Contrato, os termos a seguir devem ter o significado estabelecido conforme este instrumento, e em outras disposiçÔes do Contrato, seja quando utilizado no singular ou no plural.

“Afiliados(as)” significa qualquer pessoa que, direta ou indiretamente, controle, seja controlada, ou tenha controle comum Conosco ou com VocĂȘ. Para os propĂłsitos desta clĂĄusula, “controles”, “controlado por”, e “sob controle comum com” significam (a) a titularidade, direta ou indireta, de (i) cinquenta por cento ou mais (>50%) das açÔes com direito a voto para a eleição de diretores no caso de uma sociedade anĂŽnima, ou (ii) cinquenta por cento ou mais (>50%) ou outra participação de controle (conforme determinado nos termos da lei aplicĂĄvel) ou participaçÔes acionĂĄrios de qualquer outro tipo de pessoa jurĂ­dica (seja na forma de açÔes ou de outra forma), ou (b) status como sĂłcio comanditado em qualquer sociedade, ou qualquer outro arranjo onde uma Parte controle ou tenha o direito de controlar o Conselho de Administração ou corpo administrativo equivalente de uma sociedade ou de outra entidade conforme determinado nos termos da lei aplicĂĄvel.

“Termos Adicionais” significam quaisquer outros termos que se aplicam ao Seu uso do Software, como termos especĂ­ficos a um mĂłdulo particular do Software, termos do formulĂĄrio de pedido, e os Termos de Privacidade referenciados e incluĂ­dos neste instrumento como referĂȘncia.

“InformaçÔes Agregadas” significam uma combinação de informaçÔes de vĂĄrias fontes e podem incluir Suas InformaçÔes ou Outras InformaçÔes que nĂŁo O(A) identifiquem pessoalmente.

“Material de Branding” significa características distintivas da marca, incluindo sem limitação o símbolo exclusivo, design, e/ou nome exclusivo de uma entidade.

“Concorrente” significa uma empresa ou organização que: a) desenvolve, vende ou distribui software ou serviços de gestĂŁo de informaçÔes para a comunidade agrĂ­cola, b) fornece seguro e gestĂŁo de risco no setor agrĂ­cola, c) fornece Software de emprĂ©stimo no setor agrĂ­cola, d) Ă© um fornecedor ou distribuidor de insumo agrĂ­cola, e) Ă© um fornecedor de equipamento agrĂ­cola, f) fornece serviços de corretagem de terras agrĂ­colas, ou g) oferece informaçÔes sobre o preço de mercado de mercadorias.

“Informação Confidencial” significa qualquer e toda informação, segredo comercial, dados, tĂ©cnicos ou nĂŁo tĂ©cnicos, informaçÔes sobre precificação, reveladas ou fornecidas por uma Parte Ă  outra Parte sobre o Software, sejam reveladas ou fornecidas oralmente, por escrito, graficamente, fotograficamente, por meio eletrĂŽnico ou por qualquer outra forma.

“Software” “significa o software, sistema, plataforma e direitos de acesso ao Site, bem como quaisquer aplicaçÔes relacionadas disponibilizadas por NÓS periodicamente ou em quaisquer lojas de aplicativos para uso em dispositivos mĂłveis, tablets, computadores pessoais e outros dispositivos, e subdomĂ­nios e sites subsidiĂĄrios, e todas as pĂĄginas da web relacionadas inerentes.

“Data de VigĂȘncia” significa a data na qual VocĂȘ acessou o Software pela primeira vez.

“Feedback” significa feedback ou ideias que VocĂȘ ou Seus UsuĂĄrios fornecem a NĂłs em relação ao Software ou Nossas InformaçÔes ou quaisquer aperfeiçoamentos sugeridos relacionados.

“FormulĂĄrio de Pedido” significa qualquer documento que especifique o Software a ser fornecido que seja celebrado entre NĂłs e VocĂȘ, incluindo quaisquer anexos, adendos e suplementos inerentes. Ao acessar o FormulĂĄrio de Pedido, VocĂȘ concorda em estar vinculado pelos termos deste Contrato como se o FormulĂĄrio de Pedido fosse parte original dele.

“Outras InformaçÔes” significam informaçÔes que nĂłs coletamos que podem nĂŁo especificamente identificĂĄ-lo(a), conforme descrito adicionalmente nos Termos de Privacidade.

“Nossas InformaçÔes” significam quaisquer dados fornecidos por NĂłs a VocĂȘ, incluindo as InformaçÔes Confidenciais e todo o conteĂșdo, dados, anĂĄlises, InformaçÔes Agregadas, recomendaçÔes, ou outras informaçÔes geradas por ou disponibilizadas para VocĂȘ pelo Software, excluindo Suas InformaçÔes, mas incluindo dados que possam estar relacionados Ă s Suas InformaçÔes (por exemplo, quando Suas InformaçÔes forem utilizadas para desenvolver InformaçÔes Agregadas e anĂĄlises).

“InformaçÔes Pessoais” significam informaçÔes que identificam VocĂȘ como um indivĂ­duo ou que se relacionem a um indivĂ­duo identificĂĄvel, conforme descrito adicionalmente nos Termos de Privacidade.

“Tributos”, significam taxas, impostos, encargos, contribuiçÔes, tarifas aduaneiras e outros encargos governamentais (exceto Nosso imposto de renda) associados com a venda do Software, incluindo quaisquer penalidades ou juros relacionados.

“UsuĂĄrio(s)” significa um indivĂ­duo ou indivĂ­duos autorizados por VocĂȘ a utilizar o Software, para quem VocĂȘ (ou NĂłs sob Sua solicitação) forneceu credenciais de acesso. THESE TERMS OF SERVICE CONSTITUTE A LEGALLY BINDING AGREEMENT ("AGREEMENT") BETWEEN YOU AND GRANULAR CANADA COMPANY, AND ITS AFFILIATES ("GRANULAR", "WE", "OUR" OR "US") AND GOVERNS YOUR ACQUISITION OF, ACCESS TO, AND USE OF THE SERVICES.

Capitalized terms used herein are defined terms, and definitions can be found at the end of this Agreement.

By accessing or using the Services or by continuing to access or use the Services after being notified of a change to this Agreement, You are agreeing to the terms in this Agreement. If You are entering this Agreement on behalf of a business, employer, or other legal entity, You are accepting these terms on behalf of that entity and representing that You have the legal authority to bind the entity, in which case "You" and "Your" refers to You, the entity, and its Affiliates. If You do not have such authority, are not 18 years of age or older, or do not agree to these terms, You may not access or use the Services.

THIS AGREEMENT LIMITS THE REMEDIES THAT MAY BE AVAILABLE TO YOU IN THE EVENT OF A DISPUTE. UNITED STATES USERS: THESE TERMS CONTAIN A BINDING ARBITRATION AGREEMENT AND CLASS ACTION AND JURY TRIAL WAIVERS, WHICH ARE APPLICABLE TO ALL UNITED STATES USERS AND USERS HAVING OPERATIONS IN THE UNITED STATES. PLEASE READ CAREFULLY THE BINDING ARBITRATION AGREEMENT AND CLASS ACTION AND JURY TRIAL WAIVERS – IT AFFECTS HOW DISPUTES ARE RESOLVED.

We reserve the right to make changes to this Agreement at any time. Further, Additional Terms may apply to the Services and are hereby incorporated into this Agreement and govern Your and Your Users’ access to and use of the Services. Please check back from time to time to ensure You are aware of any updates or changes.

You or Your Users may not access the Services if You are Our Competitor, except with Our prior written consent. which may be withheld for any or no reason. In addition, You and Your Users may not access the Services for purposes of (a)monitoring the performance or functionality, of the Services; (b) showing the Services or Our Information to any Competitor or third party not governed by this Agreement; or (c) for any other benchmarking or competitive purposes.


1. USE OF SERVICES

1.1 Permitted Use. Subject to the terms of this Agreement, including its Additional Terms, We grant You the limited, personal, non-exclusive, non-sublicensable, and non-transferable right to access and use the Services and Our Information solely for Your personal use or internal business purposes. You may permit Your Users to access and use the Services on Your behalf, and You are responsible for by or through Your and/or Your Users’ access to and use of Your account(s). If You are a retailer or other entity or person using the Services for the benefit of another party, You represent and warrant that You have all necessary consents to use the Services on the other party’s behalf and that You have given the recipient of the Services an opportunity to review the terms and conditions herein.

1.2 Restrictions. You and Your Users may not: (a) copy, reproduce, distribute, modify, edit, create derivative works, adapt, translate, reformat, derive, emulate, exploit, republish, download, display, post, transmit, disassemble, reverse engineer, or decompile, except as expressly permitted herein, any portion of the Services and its associated software code and functionality, except to the extent that the applicable copyright law expressly permits doing so; (b) license, assign, transfer, sublicense, or otherwise commercially exploit Your rights to the Services or Our Information, or use the Services or Our Information on behalf of or for the benefit of a third party other than Your Users, including in any service bureau or timesharing arrangement; (c) use the Services or Our Information for the purposes of competitive comparison or competitive development; (d) use the Services or Our Information in any way (i) that violates applicable Law; (ii) intended to violate a third party’s privacy; or (iii) to threaten, stalk, harass, defame a third party, or otherwise violate the legal rights of others; (e) interfere with the integrity, operation, or performance of the Service, or related software; (f) access or try to access any Services or Our Information that You or Your Users do not have the right to access, or use the Services in any unauthorized way that could interfere with anyone else’s use of them or gain access to any other service, data, account, or network; (g) allow any unauthorized party to access Our Information or Your instance of the Services; (h) use any third party content or services available through the Services separately from the Services; (i) publish, copy, rent, lease, sell, export, import, distribute, or lend the software or Services, unless We expressly authorize You to do so; (j) frame or use framing techniques including without limitation to enclose any trademark, logo, or Services (including images, text, page layout, or form) of Ours; (k) use any metatags or other "hidden text" using Our name or trademarks; (l) use any manual or automated software, devices, or other processes (including but not limited to spiders, robots, scrapers, crawlers, avatars, data mining tools, or the like) to "scrape" or download data from the Services (except that We grant the operators of public search engines revocable permission to use spiders to copy materials from the Services for the sole purpose of and solely to the extent necessary for creating publicly available searchable indices of the materials, but not caches or archives of such materials); (m)remove or destroy any copyright notices or other proprietary markings contained on or in the Services; (n) interfere with or attempt to interfere with the proper functioning of the Services or use of the Services in any way; or (o) attempt to circumvent, bypass, or harm the software or Services or any technical measures in or relating to the software or Services, including but not limited to, by violating or attempting to violate any related security features, introducing viruses, worms, or similar harmful code into the Services, or interfering or attempting to interfere with the use of the Services by any other user, host or network, including by means of overloading, "flooding," "spamming," "mail bombing," or "crashing" the Services.

Any unauthorized use of the Services by You or Your Users may result in Our locking, disabling, blocking, and/or deleting Your account and/or immediately terminating the licenses granted by Us pursuant to this Agreement, without notice to You. You must promptly notify Us if You suspect or know of any violations or possible violations to the terms of the Agreement, and You agree to cooperate with and assist Us in any investigation of such potential violations or enforcement of the terms of the Agreement.

1.3 User Generated Content. Certain Services may permit You and Your Users to submit Content to the Services. When You and Your Users share Content via the Services You and Your Users understand that may be able to view, use, save, record, reproduce, share, or display Your Content without compensating You. If You or Your Users do not want other users to have that ability, do not use the Services to share Your Content. You represent and warrant that for the duration of this Agreement, You have (and will have) all the rights necessary for Your Content that is submitted, uploaded, stored, or shared on or through the Services and that the collection, use, and retention of Your Content will not violate any Laws or rights of others. We cannot be held responsible for Your Content or the content or materials others upload, store, or share using the Services. You and Your Users shall not submit any Content that violates this Agreement or is objectionable or inappropriate (e.g., sexual content, nudity, pornography, offensive language, criminal activity, hate speech, content promoting violence, bullying, or harassment). When using the Services, You and Your Users agree not to engage in activity that is illegal, fraudulent, false, or misleading (e.g., impersonating someone else, manipulating the Services).

To the extent necessary to provide the Services, to protect You and the Services, and to improve the Services, You and Your Users grant to Us a worldwide and royalty-free intellectual property license to use Your Content, for example, to make copies of, retain, transmit, reformat, display, and distribute Your Content. Your Content may appear in demonstrations, training materials, or in materials used to promote the Services, including without limitation, advertising. We will not use Your Content to target advertising to You.

If We become aware of any use of the Services by You or Your Users that we deem objectionable, inappropriate, or in violation of the terms of this Agreement or applicable Law, We will respond in any way that We, at our sole discretion, deem appropriate, including without limitation (a) suspending or terminating Your and/or Your Users access to the Services; (b) blocking delivery of communication to or from the Services; (c) removing or refusing to publish Your Content; and/or (d)reporting to law enforcement authorities any actions that may be considered illegal, as well as any reports We receive of such conduct. When requested, We will cooperate fully with law enforcement agencies in any investigation of alleged illegal activity on the Internet. We reserve the right to review your Content in order to resolve any issue. However, We cannot monitor the entire Services and make no attempt to do so.


2. DATA, ACCOUNT INFORMATION, AND CONFIDENTIALITY

2.1 Data Privacy. We will handle Personal Information and Other Information in accordance with Our Privacy Terms.

2.2 Confidentiality. Confidentiality of Your Personal Information is addressed in the Privacy Terms referenced above. The Services and ways in which Our Information is generated constitute valuable intellectual property not generally known by or shared with the public. You will treat and safeguard the Services and Our Information as confidential information and not share the Services or Our Information with any third parties not authorized to access the Services.

2.3 Accuracy of Account Information. When You create an account for certain Services, You may be asked to provide certain information such as email address, screen name, location, or other user information. By entering that information, You represent all such information is true and accurate. For example, You will not associate land or equipment that You do not own or have a right to access with the Services. You also agree to promptly update such information if it changes at any time during Your use of the Services. You also represent that You are not barred from using the Services under any applicable Law. You agree that Your information may be transferred by Us to other services (including without limitation Granular’s Affiliates’ Services) that may supplement or replace the Services You currently use.

2.4 Login Credentials. When You create an account for certain Services, You may be asked to provide a user name and password. To protect Your account, keep Your account details, login credentials, and password confidential. You and Your Users are responsible for preventing minors (i.e., persons under the age of "majority" where You live) and other unauthorized users from using Your login credentials to access the Services. You are solely responsible for the activities of anyone accessing Your account or the Services using Your login credentials. You must promptly notify Us of any unauthorized use of Your login credentials or the Services and promptly change Your password if Your account has been compromised. You agree not to create an account using any false, inaccurate, or misleading information (such as by using a false identity or alias) or if You have been previously banned from using the Services. You further agree You will not maintain more than one account for the Services at any given time.

2.5 Equipment/Data Plans. To use the Services, You will need an internet connection and/or data/cellular plan. You might also need additional equipment. You are responsible for providing all connections, plans, and equipment needed to use the Services and for paying the fees charged by the provider(s) of Your connections, plans, and equipment. Those fees are in addition to any fees You pay Us for the Services and We will not reimburse You for such fees. Check with Your provider(s) to determine if there are any such fees that apply to You.


3. INTELLECTUAL PROPERTY RIGHTS

3.1 Our rights. We, or third parties who have granted Us rights, own and shall retain all right, title, and interest (including any intellectual property rights therein) in and to: (a) the Services and all derivative works, modifications, copies, and improvements to the Services,; (b) Our Information,; and (c) Our Branding Material.

3.2 Feedback. You agree that any Feedback will be Our exclusive property. To the extent You or Your Users own any rights in the Feedback, You and Your Users agree to assign and hereby do assign to Us, without charge, royalties or other obligation to You or Your Users, all right, title, and interest in and to the Feedback, including, without limitation, the right to make, have made, create derivative works, use, share, and communicate Your Feedback in any way and for any purpose. You will not give Feedback that is subject to a license that requires Us to license its software, technologies, or documentation to any third party because We include Your Feedback in them. You agree to perform all acts reasonably requested by Us to perfect and enforce such rights.

3.3 Your rights. You own Your Information, and, subject to the Privacy Terms, You grant Us a non-exclusive license to access, use, reproduce, display, modify, and prepare derivative works based on Your Personal Information or Other Information for the purpose of providing, improving, and enhancing the Services. You own Your Branding Material. You grant Us a non-exclusive, non-transferable license to use Your Branding Material in the provision of the Services, publishing of material on Our website, and production of marketing materials to promote Our products and services, which may include the disclosure of Your relationship with Us.

3.4 Reservation of Rights. Except as expressly provided under this Agreement, We do not grant you a license or any other rights of any type under any patents, know-how, copyrights, trade secrets, trademarks or other intellectual property owned or controlled by Us or any of Our Affiliates or related entity, including, but not limited to, any name, trade dress, logo or equivalents.


4. FEES AND PAYMENTS

4.1 Fees. You shall be responsible for the payment of all fees, which may include but are not limited to Services subscription fees or those set forth on any Order Form, for the Services associated with this Agreement. Fees will be disclosed and assessed, as needed, according to Our procedures, and We may change those fees at Our sole discretion from time to time. The fees for the Services exclude all applicable taxes, unless otherwise stated. We may suspend or cancel the Services if We do not receive an on time, full payment from You. Suspension or cancellation of the Services for non-payment could result in a loss of access to and use of Your account and Your Content. Connection to the internet via a corporate or other private network that masks Your location may cause charges to be different from those displayed for Your actual location. Except as otherwise noted in this Agreement, all purchases are final and non-refundable. If You believe that We have charged You in error, You must contact Us with 90 days of such charge. No refunds will be given for charges more than 90 days old. We reserve the right to issue refunds or credits at our sole discretion. If We issue a refund or credit, We are under no obligation to issue the same or similar refund or credit in the future. This refund policy does not affect any statutory rights that may apply.

4.2 Taxes. You are responsible for any Taxes and will pay Us for the Services without any reduction for such amounts. If We are obligated to collect or pay Taxes, We will include such Taxes on Our invoice, unless You provide Us with a valid tax exemption certificate authorized by the appropriate taxing authority. If You are required by law to withhold any Taxes from Your payments to Us, You must provide Us with official documentation to support such withholding.

4.3 Invoices; Payment; Late Payment. All amounts are due and payable upon Your receipt of Our invoice or other method of billing for Service, unless otherwise stated in billing statements. Interest shall accrue on amounts more than fifteen (15) days past due at the lower rate of twelve percent (12%) per month or the highest rate of interest allowed by Law, calculated from the date such amount was due. You shall reimburse Us for the reasonable costs of collection, including legal fees and expenses. Additionally, You agree to permit Us to use any updated account information regarding Your selected payment method provided by Your issuing financial institution or the applicable payment network. You agree to promptly update Your account and other information, including Your email address and payment method details, so We can complete Your transactions and contact You as needed in connection with Your transactions. Changes made to Your billing account will not affect charges We submit to Your billing account before We could reasonably act on Your changes to Your billing account. By providing Us with a payment method, You: (a) represent that You are authorized to use the payment method You provided and that any payment information You provide is true and accurate; (b) authorize Us to charge You for the Services or available Content using Your payment method; and (c) authorize Us to charge You for any paid feature of the Services You choose to sign up for or use while this Agreement is in force. We may bill You (a) in advance; (b) at the time of purchase; (c) shortly after purchase; or (d) on a recurring basis for subscription Services. Also, We may charge You up to the amount You have approved, and We will notify You in advance of any change in the amount to be charged for recurring subscription Services. We may bill You at the same time for more than one of your prior billing periods for amounts that haven’t previously been processed.

4.4 Recurring Fees. When You purchase the Services on a subscription basis (e.g., monthly, quarterly, or annually), You agree that You are authorizing recurring payments, and payments will be made to Us by the method and at the recurring intervals that You have agreed to, until the subscription for that Service is terminated by You or by Us. You must cancel Your Services before the next billing date to stop being charged. We will provide You with instructions on how You may cancel Your Services. By authorized recurring payments, You are authorizing Us to store Your payment instrument and process such payments as either electronic debits or fund transfers, or as electronic drafts from Your designated account (for Automated Clearing House or similar payments), or as charges to Your designated account (for credit card or similar payments) (collectively, "Electronic Payments"). Subscription fees are generally charged in advance of the applicable subscription period. If any payment is returned unpaid or any credit card or similar transaction is rejected or denied, We or Our service providers reserve the right to collect any application return item, rejection, or insufficient funds fee and process any such payment as an Electronic Payment.

4.5 Promotional Offers. From time to time, We may offer Services for a trial period during which We will not charge You for the Services. We reserve the right to charge You for such Services (at the normal rate) if We determine, in Our reasonable discretion, that You are breaching the terms and conditions of the offer or this Agreement.


5. TERM AND TERMINATION

5.1 Term. This Agreement shall commence on the Effective Date and continue until the expiration or termination of Your use of all Services. The initial term and renewal periods are collectively the "Term".

5.2 Termination by You. If You wish to terminate Your relationship with Us, You must notify us via email at: privacy@granular.ag and provide Us with any additional account information necessary to terminate Our relationship with You.

5.3 Termination by Us. We may terminate this Agreement by providing notice to an email address associated with Your account and issuing a pro-rated refund of any pre-paid, unused subscription fees You have paid. This Agreement will automatically terminate without refund if You become the subject of a petition in bankruptcy or any other proceeding relating to insolvency, receivership, liquidation or assignment for the benefit of creditors. In addition, if We become aware of unauthorized use of the Services by You or Your Users or activities that we deem to be inappropriate or objectionable with respect to the Services, We may respond in any way that, in Our sole discretion, We deem appropriate, which may include termination of this Agreement without notice and without any refund of any fees. Upon termination, You and Your Users must immediately delete and destroy any downloaded application, Content, and printed materials related to the Services.

5.4 Rights and Obligations Upon Termination. Upon expiration or termination (whether by You or Us) of this Agreement, You and Your Users right to access the Services, stops immediately and Your licenses related to the Services end. We may or may not delete Your Content associated with the Services or will otherwise disassociate it from You and Your account (unless We are required by Law to keep it or transfer it to You or a third party identified by You). As a result, You will no longer be able to access Your Content that you stored on the Services. You should have a backup plan.

5.5 Survival. The rights and obligations contained in Sections 2, 3, 6, 7, 8, 9, 10, and 11 shall survive any expiration or termination of this Agreement.


6. LIMITED WARRANTY AND DISCLAIMERS.

6.1 Limited Warranty. We warrant that the Services will function substantially in accordance with Our then-available specifications for the Services. Your sole and exclusive remedy for any breach of the foregoing warranty will be for Us to re-perform the Services in a manner that conforms to this warranty. If We are unable, or it is not commercially reasonable to correct the non-conformity, We may, at our discretion, terminate the Agreement and provide You a pro-rata refund of any prepaid fees for the applicable Term.

6.2 Disclaimers. THE LAWS OF CERTAIN JURISDICTIONS, WHICH MAY INCLUDE THE PROVINCE OF QUEBEC, MAY NOT ALLOW THE EXCLUSION OR LIMITATION OF WARRANTIES OR LIMITATIONS OF LIABILITY. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE BELOW EXCLUSIONS OR LIMITATIONS MAY NOT APPLY TO YOU AND YOU MAY HAVE ADDITIONAL RIGHTS. Your use of, and any reliance upon, the Services or Our Information, including, but not limited to, any information, materials, downloaded applications, agronomic information, yield data, historical data, weather forecast, advice, commodity prices, or land valuation is at Your own risk. Some of the Services are location-specific and Services available in one location may not be available in another location. The results of any report, output, or recommendation from the Services are based, in large part, by completeness, timeliness, truth, and accuracy of Your Information. Any incorrect information inputted by You or Your Users will affect such report, output, or recommendation in a negative manner, potentially rendering them incorrect and/or damaging. Even if Your Information is complete, timely, true, and accurate, We do not warrant that any output, report, or recommendation made available by or through the Services will be correct, suitable, or useful for You or Your location, save You money or time, increase profits, increase yields, act as a substitute for sound field monitoring and management practices, or any other result or otherwise allow You to meet Your goals. You must use Your own judgment in determining whether to adopt, use, or comply, in whole or in part, with any report, output, or recommendation from the Services. Individual results may vary and are subject to a variety of environmental factors (e.g., weather, disease and pest pressure, soil type, moisture level, and management practices). We are not responsible for any of Your or Your Users’ acts or omissions resulting from Your or Your Users’ action or inaction resulting from such report, output, or recommendation. As the Services evolve, We may provide You and Your Users explanations on how the Services work and certain additional specific disclaimers. Any such specific disclaimers provided to any User, including through a notice made available within the Services, are incorporated by reference into this Agreement.

The Services and all of the text, images, and software and all services, products, and materials (including, without limitation, third party products and services, and submissions and creations) made available through or in connection with the Services are provided to You on an "as is", "as available", "with all faults", and "where-is" basis. You understand that the use of the Services is at Your and Your Users’ own risk. Except as provided in the limited warranty in section 6.1, We provide no representations, warranties, or guarantees of any kind in connection with or regarding the Services, including but not limited to the suitability, truth, accuracy, timeliness, or completeness of any content, material, information, product, representation, or the Services. To the maximum extent permitted under applicable Law, We disclaim all representations, warranties, and guarantees, whether express or implied, statutory, or otherwise, including, but not limited to, any implied warranty or condition of quality, merchantability, fitness for a particular purpose, workmanlike effort, or non-infringement of third party rights, or those arising out of a course of dealing, custom, or usage of trade. You may have certain rights under local Law. Nothing in this Agreement is intended to affect those rights, if they are applicable. Specifically, except as provided in the limited warranty, We make no warranty, representation, or guarantee regarding the availability, accuracy, reliability, completeness, legality, security, satisfactory quality, or operability of the Services, any stored data or other information, functionalities, applications, or other features provided. You acknowledge that computer and telecommunications systems are not fault-free and occasional periods of downtime occur. We do not guarantee that the Services will be uninterrupted, timely, secure, or error-free or that Content loss won’t occur, nor do We guarantee any connection to or transmission from the computer networks. In the case of third party Content or services offered as part of the Services, our Affiliates, vendors, licensors, and third party service providers disclaim liability as described in this section as well.


7.1 Third Party Interaction and Links to Third Party Sites. In Your use of the Services, You may, through applications available through or with respect to the Services, link to other websites or to advertisements, enter into correspondence with, purchase goods and/or services from, or participate in promotions of third party advertisers, commerce providers, independent distributors, or other registered users. We are not responsible for the availability, accuracy, or security of such third party sites. Unless otherwise stated specifically by Us, any such correspondence, advertisement, purchase, or promotion, including the delivery of and the payment for goods and/or services, and any other term, condition, warranty, or representation associated with such correspondence, purchase, or promotion is solely between You and the applicable third party. You agree that We have no liability, obligation, or responsibility for any such correspondence, purchase, or promotion between You and any third party whatsoever.

The Services may be linked to other websites that are not under the control of or maintained by Us. Such links do not constitute an endorsement by Us of any such websites or the products or services offered through such websites. You acknowledge that We are providing these links to You only as a convenience. You agree that We are not responsible for the business practices, content, privacy policies or links displayed on such websites or products and services offered through such sites to which You may be linked. You agree that Your access to those websites is at Your sole risk.

7.2 From Third Parties to Us. All links to Our websites by third parties ("linking party") must be approved in writing by Us. Please contact support@granular.ag to request approval.

As a condition to being permitted to link to Our Services, the linking party must agree that We may at any time, in Our sole discretion, terminate or revoke permission to link to the Services. In such event, the linking party agrees to immediately remove all links to the Services.

By linking to the Services, the linking party agrees to indemnify and hold Us safe and harmless from, and against, any and all losses, costs, damages, claims, actions, or liabilities arising from any such link. We shall have no liability for any indirect, exemplary, incidental, punitive, special, or consequential damages with regard to the linking or use of such link. Granular makes no warranties, express or implied, with respect to such links.


8. LIMITATION OF LIABILITY.

THE LAWS OF CERTAIN JURISDICTIONS, WHICH MAY INCLUDE THE PROVINCE OF QUEBEC, DO NOT ALLOW THE LIMITATION OF LIABILITY OR CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE BELOW LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MAY HAVE ADDITIONAL RIGHTS. Under no circumstances and under no legal theory (whether in contract, tort, negligence, or otherwise) will We, Our Affiliates, or Our and Our Affiliates’ officers, directors, shareholders, employees, agents, suppliers, representatives, licensors, or third parties providing Services be liable to You, Your Users, or any third party for any indirect, incidental, special, exemplary, consequential, punitive, or other similar damages, including lost profits, lost sales or business, lost data, business interruption, or any other loss incurred by You or any third party arising out of, related to, or in connection with this Agreement or the use of, or inability to use, the Services, regardless of whether We have been advised of the possibility of or could have foreseen such damages.

Notwithstanding anything to the contrary in this Agreement or the failure of essential purpose of any limited remedy, if You have any basis for recovering damages (including breach of this Agreement), You agree that Your exclusive remedy is to recover from Us or Our (including Our and Our Affiliates’, officers’, directors’, shareholders’, employees’, agents’, suppliers’, representatives’, licensors’, and third party service providers’) direct damages up to an amount equal to the fees paid by You for the month during which the loss or breach occurred , or in the event You have not paid a fee, then $25.00 United States dollars. You cannot recover any other damages or losses. These limitations and exclusions apply even if this remedy doesn’t fully compensate You for any losses or fails for its essential purpose. To the maximum extent permitted by Law, these limitations and exclusions apply to anything or any claims related to this Agreement, the Services, or the software related to the Services. You acknowledge and agree that the essential purpose of this section 8 is to allocate the risks under this Agreement between the parties and limit potential liability given the fees, which would have been substantially higher if We were to assume any further liability other than as set forth herein. We have relied on these limitations in determining whether to provide You the rights to access and use the Services provided for in this Agreement.

Some jurisdictions do not allow the exclusion of implied warranties or limitation of liability for incidental or consequential damages, which means that some of the above limitations may not apply to You. In these jurisdictions, Our liability will be limited to the greatest extent permitted by applicable Law. If You are a resident of the European Union, We do not exclude or limit our liability for death or personal injury resulting from negligence.


9. DISPUTE RESOLUTION – BINDING ARBITRATION AGREEMENT, CLASS ACTION WAIVER, AND JURY TRIAL WAIVER

9.1 BINDING ARBITRATION AGREEMENT AND CLASS ACTION WAIVER.

You and We agree to resolve any and all disputes, controversies, or claims that in any way arise out of or relate to this Agreement or from any portion or aspect of the Services ("Dispute(s)"), only by arbitration on an individual basis under the Federal Arbitration Act ("FAA"), and not to sue in court in front of a judge or jury. The term "Dispute" shall be interpreted as broadly as it can be and includes any claim or controversy between You and Us concerning the Services, the software related to the Services, the price of the Services, Your account, advertising, marketing, communications, Your purchase transaction, billing, or the terms of this Agreement, under any legal theory including contract, warranty, tort, statutory, or regulation, except disputes relating to the enforcement or validity of Your, Our, Our licensors’ intellectual property rights.

You understand that by agreeing to this Agreement, arbitration will be the sole and exclusive means of resolving any Dispute between You and Us. You also understand that by agreeing to this Agreement, You and We are giving up the right to bring a Dispute in court or in front of a jury (except for matters that may be brought in small claims court), and that You and We are giving up the right to proceed with any class action or other representative action. Instead, a neutral arbitrator will decide and the arbitrator’s decision will be final except for the limited right of review under the FAA. While arbitration procedures may be different than court procedures, an arbitrator can award You individually the same damages and relief as a court, and judgment on the award rendered by the arbitrator may be entered and enforced in any court with jurisdiction. You and We understand that absent this mandatory provision, You and We would have the right to sue in court and have a jury trial. You and We further understand that, in some instances, the costs of arbitration could exceed the costs of litigation and the right to discovery may be more limited in arbitration than in court.

As used in this section 9, "We", "our", and "Us" includes Granular, Inc. and its Affiliates.

9.2 ARBITRATION PROCEDURE.

  • 9.2.1 Notice of Dispute. If You or We intend to arbitrate a Dispute under this Agreement, the party seeking arbitration must first notify the other party of the dispute at least 60 days before initiating the arbitration. Notice to Us should be sent either may mail to 7250 NW 62nd Ave, Johnston, Iowa 50131, Attn: Legal or to legalassist@granular.ag. Notice to You will be sent to Your email address and/or street address that We have in Our records at the time the notice is sent. The notice must tell Us Your name, address, how to contact You, what the problem is, and what You want. We will do the same if We have a Dispute with You. If You and We are not able to resolve the Dispute within 60 days, either You or We may start an arbitration.
  • 9.2.2 Timing of notice. You and We agree that the notice provided in section * 9.2.1 must be provided within one (1) year after the cause or claim underlying the Dispute accrues. If the notice is not provided in that time, it is permanently barred.
  • 9.2.3 Arbitration Location. The FAA applies to this Agreement. All Disputes will be resolved by arbitration administered by the AAA. For more information, see www.adr.org or call 1-800-778-7879. The AAA will apply the Commercial Arbitration Rules to the arbitration of any Dispute pursuant to this Agreement, unless You are an individual and use the Services for personal use, in which case the AAA’s Consumer Arbitration Rules will apply (excluding any rules or procedures governing or permitting class actions). Procedures and fees relating to arbitration are available from the AAA. In the event of a conflict between this Agreement and the AAA’s Commercial Arbitration Rules or Consumer Arbitration Rules, this Agreement governs. In a Dispute involving $25,000 United States dollars or less, any hearing will be telephonic unless the arbitrator finds good cause to hold an in-person hearing instead. The arbitrator may award the same damages to You individually as a court could. The arbitrator may award declaratory judgment or injunctive relief only to You individually to satisfy Your individual claim. Under AAA Rules, the arbitrator rules on his or her own jurisdiction, including the arbitrability of any Dispute. But a court has exclusive authority to enforce the prohibition on arbitration on a class-wide basis or in a representative capacity.
  • 9.2.4 Arbitration Procedure. The Federal Arbitration Act applies to this Agreement. All Disputes will be resolved by arbitration administered by the American Arbitration Association ("AAA"). The AAA will apply the Commercial Arbitration Rules to the arbitration of any Dispute pursuant to these Terms, unless You are an individual and use the Services for personal use, in which case the AAA’s Consumer Arbitration Rules will apply (excluding any rules or procedures governing or permitting class actions). Procedures and fees relating to arbitration are available from the AAA (www.adr.org). In the event of a conflict between this Agreement and the AAA’s Commercial Arbitration Rules or Consumer Arbitration Rules, this Agreement governs.
  • 9.2.5 Arbitration Fees and Costs. You and We will equally share the fees and costs associated with the AAA. You are responsible for Your legal fees and expenses and We are responsible for Our legal fees and expenses.
  • 9.2.6 Severability. If a court of competent jurisdiction finds any part of this Agreement to arbitrate unenforceable, the court will reform the Agreement to the extent necessary to cure the unenforceable part(s), and You and We will arbitrate the Dispute(s) without reference to or reliance upon the unenforceable part(s).
  • 9.2.7 Rejecting Future Arbitration Changes. You may reject any change We make to section 9 (except address changes) by sending Us notice within 30 days of the change by U.S. Mail to the address noted in section 9.2.1. If You do, the most recent version of section 9 before the change You rejected will apply.

9.3 Jury Trial Waiver for United States customers and customers with United States Operations or Users. If for any reason a dispute proceeds in court rather than through arbitration, You and We agree that there will not be a jury trial. You and We unconditionally waive any right to trial by jury in any action, proceeding or counterclaim in any way arising out of or relating to this Agreement. In the event of litigation, this paragraph may be filed to show a written consent to a trial by the court.

9.4 Class Action Waiver for United States customers and customers with United States Operations or Users. This Agreement does not allow class or collective arbitrations, even if the arbitration procedures or rules would. Notwithstanding any other provision of these terms, the arbitrator may award money or injunctive relief only in favor of the individual party seeking relief and only to the extent necessary to provide the relief warranted by that party’s individual claim. Arbitration or court proceedings held under this Agreement cannot be brought, maintained or resolved on behalf of or by a class, as a private attorney-general, or in any other representative capacity. In addition, individual proceedings cannot be combined without the consent of all of the parties. Any question regarding the enforceability or interpretation of this section will be decided by a court and not the arbitrator.


10. INDEMNIFICATION

10.1 Indemnification by Us. We will defend You against any claim, demand, suit or proceeding made or brought against You by a third party alleging that the use of the Services in accordance with this Agreement infringes or misappropriates such third party’s intellectual property rights (a "Claim Against You"), and will indemnify You from: (a) any damages, awards or fees finally awarded against You or (b) for amounts paid by You under a court-approved settlement of, a Claim Against You, provided You promptly give Us written notice of the Claim Against You and give Us sole control of the defense and settlement of the Claim Against You (except that We may not settle any Claim Against You unless it unconditionally releases You of all liability). Additionally, You must provide Us all reasonable assistance, at Our expense. If We receive information about an infringement or misappropriation claim related to a Service, We may in Our sole discretion and at no cost to You (x) modify the Service so that it no longer infringes or misappropriates, without breaching warranties under Section 6.1, (y) obtain a license for Your continued use of that Service in accordance with this Agreement, or (z) terminate Your subscriptions for that Service upon thirty (30) days’ written notice and refund You pro-rata fees covering the remainder of the term of the terminated subscriptions. The above defense and indemnification obligations do not apply: (i) to the extent a Claim Against You arises from Your breach of this Agreement, (ii) if the Services you are accessing are provided free of charge, or (iii) if You use one or more Services in an infringing manner and a non-infringing manner of use is available.

10.2 Indemnification by You. You alone are responsible for Your actions related to the use of the Services or the actions of any person using Your credentials or Your computing device. As such, You will defend Us against any claim, demand, suit, or proceeding made or brought against Us or Our Affiliate by a third party relating in any way to Your, Your Users’ or any person using Your credentials or Your computing device: (a) breach of this Agreement; (b) use of the Services, the related software, or Our Information; (c) any allegation that Your Information, or Your or Your Users’ use of any Services, related software, or Our Information other than in conformance with this Agreement, infringes or misappropriates such third party’s intellectual property rights or violates applicable law (a "Claim Against Us"). You will indemnify Us from any: (y) damages, awards, penalties, or fees finally awarded against Us as a result of, and (z) for any amounts paid by Us under a court-approved settlement of, a Claim Against Us, provided We promptly give You written notice of the Claim Against Us, give You sole control of the defense and settlement of the Claim Against Us (except that You may not settle any Claim Against Us unless it unconditionally releases Us of all liability), and give You all reasonable assistance, at Your expense.

10.3 Exclusive Remedy. This Section 10 states the indemnifying party’s sole liability to, and the indemnified party’s exclusive remedy against, the other party for any type of claim described in this Section 10.


11. MISCELLANEOUS

11.1 Governing Law. This Agreement and all matters arising out of or relating to this Agreement shall be governed by the laws of Halifax, Nova Scotia, Canada, without regard to its conflict of law provisions. If for any reason a Dispute proceeds in court rather than through arbitration, such Dispute may only be brought exclusively in the state or federal courts located in Halifax, Nova Scotia, Canada. We and You hereby submit to the exclusive jurisdiction of, and agree that venue is proper in, those courts in any such legal action or proceeding, and waive all defenses relating to jurisdiction, venue, or that such court is an inconvenient forum. The parties specifically disclaim the U.N. Convention on Contracts for the International Sale of Goods.

11.2 Export Laws. You must comply with all domestic and international export laws and regulations that apply to the software and/or the Services, which include restrictions on destinations, end users, and end use.

11.3 Entire Agreement. This Agreement, including Additional Terms, constitutes the entire agreement between the parties regarding the subject hereof and supersedes all prior or contemporaneous agreements, understandings, and communication, whether written or oral.

11.4 Third Party Content. The Services may contain or enable access to third party content, software, services, or websites that are subject to different license terms, and Your use of those services is governed by the applicable terms. You are responsible for obtaining and complying with any necessary rights or licenses to third party content, software, services, or websites.

11.5 Service Access. You are responsible for and must provide all telephone and other equipment, software (other than any software provided by Us), hardware, and services (including internet access) necessary to access and utilize the Services.

11.6 Amendment. We may modify this Agreement at any time. Any and all changes will become effective when We post the revised Agreement on the Services. Your use of the Services following these changes means You accept the revised Agreement. If You do not consent to the revised Agreement, You must stop using the Services, and You may notify us to receive a prorated refund of any prepaid fees for unused Services.

11.7 Waiver. The waiver by Us of any default or breach of this Agreement shall not constitute a waiver of any other or subsequent default or breach.

11.8 Force Majeure. We shall not be responsible or liable in any way for Our failure to perform any of Our covenants or obligations under this Agreement if such failure results from events or circumstances reasonably beyond Our control.

11.9 Notices. We may periodically contact You or Your Users via email or other means to inform You or your Users about Services updates, special offers or other information that We believe may be valuable.

11.10 Severability. If any provision of this Agreement is found invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the other provisions of this Agreement will remain in force. The parties agree that neither party shall be deemed the drafter of this Agreement and, in the event any provision in this Agreement is alleged to be ambiguous, such provision will not be construed in favor of one party on the ground that the provision was drafted by the other party.

11.11 Relationship Between the Parties. Nothing in this Agreement shall be construed to create a partnership, joint venture, agency relationship, or similar busines relationship between the parties. Neither party is a legal representative of the other party, and neither party can assume or create any obligation, representation, warranty, or guarantee, express or implied, on behalf of the other party for any purpose whatsoever and will have no power to bind the other party without its prior written consent.

11.12 Assignment/Successors. You may not assign or transfer this Agreement, in whole or in part, without Our prior written consent, and if consent is provided, only if the assignee agrees in writing to be bound by the terms of the then-current version of this Agreement. Any attempted assignment or transfer in violation of this section will be null and void. Notwithstanding the foregoing, this Agreement shall inure to the benefit of the successors and permitted assigns of the parties.

11.13 Non-Exclusive Remedies. Except as set forth in this Agreement, the exercise by Us of any remedy under this Agreement will be without prejudice to Our other remedies under this Agreement or otherwise.

11.14 No Third-Party Beneficiaries. This Agreement is intended for the sole and exclusive benefit of You or Us and is not intended to benefit any third party. Only the parties to this Agreement may enforce it.

11.15 Compliance with Laws; Export Control. You agree that you will comply with all applicable laws. We provide the Services from Our headquarters in the United States of America. If You use the Services from outside the United States of America or Canada, You are entirely responsible for compliance with applicable local laws, including but not limited to export and import regulations.


DEFINITIONS:

"Affiliate" means any entity that directly or indirectly controls, is controlled by, or is under common control with the subject entity.

"Additional Terms" means any other terms that apply to Your use of the Services, such as terms specific to a particular Service, order form terms, invoice terms, and the Privacy Terms referenced herein.

"Aggregated Information" means a combination of information from various sources and may include Your Information or Other Information that does not personally identify You.

"Branding Material" means distinctive brand features including without limitation the unique symbol, design, and/or name unique to an entity.

"Competitor" means a company or organization that: (a) develops, sells, or distributes software or information management services to the agricultural community; (b) provides insurance and risk management in the agricultural sector, ; (c) provides lending services in the agricultural sector; (d) is an agricultural input supplier or distributor; (e) is an agricultural equipment supplier; (f) provides farmland real estate brokerage services; or (g) provides commodity market pricing information.

"Content" means the files, photos, documents, notes, audio, digital works, and videos uploaded, stored, broadcast, or shared through the Services.

"Effective Date" means the date that You first access the Services.

"Feedback" means feedback or ideas, including, without limitation, for new products, technologies, promotions, product names, product feedback and product improvement You or Your Users provide to Us relating to the Services or Our Information or any suggested improvements thereto.

"Law" means all constitutions, laws, statutes, ordinances, rules, regulations, permits, licenses, approvals, interpretations, and orders of courts or governmental authorities and all orders and decrees of all courts and arbitrators.

"Order Form" means any document specifying the Services to be provided that is entered into between Us and You, including any exhibits, addenda and supplements thereto. By entering into the Order Form, You agree to be bound by the terms of this Agreement as if the Order Form were an original part hereto.

"Other Information" means information weWe collect that may not specifically identify You, as further described in the Privacy Terms.

"Our Information" means any data provided by Us to You, including all Content, data, analysis, Aggregated Information, recommendations, or other information generated by or made available to You by or through the Services, excluding Your Information but including data that may be related to Your Information (for example, when Your Information is used to develop Aggregated Information and analysis).

"Personal Information" means information that identifies You as an individual or relates to an identifiable individual, as further described in the Privacy Terms.

"Services" means Our products, services, websites, software applications, documentation, and other Content provided by Us to You.

"Taxes" means taxes, duties, levies, tariffs, and other governmental charges (other than Our income tax) associated with the sale of the Services, including any related penalties or interest.

"User(s)" means an individual (s) who are authorized by You to use the Services, to whom You (or We at Your request) may have supplied login credentials or have permitted to access the Services on Your behalf. Users may include, for example, Your employees, consultants, contractors, representatives, and agents, or third parties, including Certified Services Agents, who sell Our Services and enter information for You, with whom you transact.

"You" or "Your" mean the individual(s), company(ies), or other legal entity(ies) for which You are accepting this Agreement, and Affiliates of that company(ies), entity(ies).

"Your Information" means information We collect or have access to when You or Your agent, such as a certified sales agent or duly authorized representative, submit(s) the information while using or subscribing to the Services and may include Personal Information or Other Information, each as defined herein and further described in the Privacy Terms.

Vous ou Vos utilisateurs ne pouvez pas accĂ©der aux Services si Vous ĂȘtes Notre Concurrent, sauf avec Notre consentement Ă©crit prĂ©alable, qui peut ĂȘtre suspendu Ă  tout moment avec ou sans raison. En outre, Vous et Vos utilisateurs ne pouvez pas accĂ©der aux Services Ă  des fins (a) de surveillance du rendement ou des fonctionnalitĂ©s des Services; (b) de prĂ©sentation des Services ou de Nos Renseignements Ă  un Concurrent ou Ă  un tiers non rĂ©gi par le prĂ©sent Accord; ou (c) à d’autres fins d’évaluation ou de concurrence.


1. UTILISATION DES SERVICES

1.1 Utilisation autorisĂ©e. Sous rĂ©serve des conditions du prĂ©sent Accord, y compris de ses Conditions supplĂ©mentaires, Nous Vous accordons le droit limitĂ© et non cessible d’utiliser les Services et Nos Renseignements et d’y accĂ©der seulement pour Votre usage personnel ou Ă  des fins commerciales internes. Vous pouvez accorder Ă  Vos utilisateurs le droit d’utiliser les Services et d’y accĂ©der en Votre nom, et Vous ĂȘtes responsable de toute activitĂ© qui se produit par l’entremise de Votre utilisation de Vos comptes ou Votre accĂšs Ă  ceux-ci, ou de ceux de Vos utilisateurs. Si Vous ĂȘtes un dĂ©taillant ou une autre entitĂ© ou personne utilisant les Services au profit d’une autre partie, Vous dĂ©clarez et garantissez que Vous disposez de tous les consentements nĂ©cessaires pour utiliser les Services au nom de l’autre partie et que Vous avez donnĂ© au destinataire des Services la possibilitĂ© d’examiner les conditions des prĂ©sentes.

1.2 Restrictions. Vous et Vos Utilisateurs ne pouvez pas :

(a) copier, distribuer, modifier, Ă©diter, crĂ©er des Ɠuvres dĂ©rivĂ©es, adapter, traduire, reformater, dĂ©river, imiter, exploiter, dĂ©sassembler, faire de l’ingĂ©nierie inverse ou dĂ©compiler toute partie des Services et de son code logiciel et de ses fonctionnalitĂ©s, sauf dans la mesure oĂč la loi sur le droit d’auteur en vigueur le permet expressĂ©ment;

(b) cĂ©der, transfĂ©rer ou concĂ©der en sous-licence Vos droits aux Services ou Ă  Nos Renseignements, ou utiliser les Services ou Nos Renseignements pour le compte ou au profit d’un tiers autre que Vos Utilisateurs, y compris dans tout bureau de service ou systĂšme de temps partagĂ©;

(c) utiliser les Services ou Nos Renseignements à des fins de comparaison ou développement concurrentiels;

(d) utiliser les Services ou Nos Renseignements d’une maniĂšre (i) qui enfreint la Loi en vigueur, (ii) qui est destinĂ©e Ă  violer la vie privĂ©e d’un tiers, ou (iii) qui menace, poursuit, harcĂšle, diffame ou autrement porte atteinte aux droits d’un tiers;

(e) porter atteinte Ă  l’intĂ©gritĂ©, au fonctionnement ou Ă  l’exĂ©cution du Service ou des logiciels idoines;

(f) accĂ©der ou tenter d’accĂ©der Ă  des Services ou Ă  Nos Renseignements auxquels Vous ou Vos utilisateurs n’avez pas le droit d’accĂ©der, ou d’utiliser les Services d’une maniĂšre non autorisĂ©e qui pourrait interfĂ©rer avec leur utilisation par quelqu’un d’autre ou accĂ©der Ă  tout autre service, donnĂ©e, compte ou rĂ©seau;

(g) autoriser toute partie non autorisée à accéder à Nos Renseignements ou à Votre exemple de Services;

(h) utiliser tout contenu ou service de tiers offert par les Services séparément des Services;

(i) publier, copier, louer, vendre, exporter, importer, distribuer ou prĂȘter les logiciels ou les Services, Ă  moins que Nous Vous n’autorisions expressĂ©ment, Vous et Vos Utilisateurs, Ă  le faire;

(j) encadrer ou utiliser des techniques de cadrage, y compris, mais sans s’y limiter, pour inclure une de Nos marques, un de Nos logos ou un de Nos Services (y compris des images, du texte, une mise en page ou un formulaire);

(k) utiliser des mĂ©tabalises ou tout autre « texte caché » en utilisant Notre nom ou Nos marques;

(l) utiliser des logiciels, appareils ou autres processus manuels ou automatisĂ©s (y compris, mais sans s’y limiter, des robots d’indexation, des robots, des grattoirs, des robots d’exploration, des avatars, des outils d’exploration de donnĂ©es ou autres) pour « gratter » ou tĂ©lĂ©charger des donnĂ©es Ă  partir des Services (Nous accordons toutefois aux opĂ©rateurs de moteurs de recherche publics l’autorisation rĂ©vocable d’utiliser des robots d’indexation pour copier des Ă©lĂ©ments des Services dans le seul but et uniquement dans la mesure nĂ©cessaire Ă  la crĂ©ation d’index consultables et accessibles au public des Ă©lĂ©ments, mais pas de caches ou d’archives de ces Ă©lĂ©ments);

(m) supprimer ou dĂ©truire tout avis de droits d’auteur ou autre marque de propriĂ©tĂ© contenue sur ou dans les Services;

(n) interfĂ©rer ou tenter d’interfĂ©rer avec le bon fonctionnement des Services ou l’utilisation des Services de quelque maniĂšre que ce soit;

(o) tenter de contourner, d’éviter ou d’endommager le logiciel ou les Services ou toute mesure technique dans ou liĂ©e au logiciel ou aux Services, y compris, mais sans s’y limiter, en violant ou en tentant de violer les fonctionnalitĂ©s de sĂ©curitĂ© associĂ©es, en introduisant des virus, des vers, ou un code nuisible semblable dans les Services, ou interfĂ©rer ou tenter d’interfĂ©rer avec leur utilisation par tout autre utilisateur, hĂŽte ou rĂ©seau, y compris au moyen de surcharge, d’inondation, de pollupostage, de bombarderie ou de plantage des Services.

Toute utilisation non autorisĂ©e des Services par Vous ou Vos utilisateurs peut entraĂźner le verrouillage, la dĂ©sactivation, le blocage ou la suppression de votre compte ou la rĂ©siliation immĂ©diate des licences que Nous Vous avons accordĂ©es conformĂ©ment au prĂ©sent Accord, sans prĂ©avis. Vous devez Nous informer rapidement si Vous soupçonnez ou connaissez des violations ou des violations possibles des conditions de l’Accord, et Vous acceptez de coopĂ©rer avec Nous et de Nous aider dans toute enquĂȘte sur ces violations potentielles ou l’application des conditions de l’Accord.

1.3 Contenu gĂ©nĂ©rĂ© par l’utilisateur. Certains Services peuvent Vous permettre, ainsi qu’à Vos utilisateurs, de soumettre du contenu aux Services. Lorsque Vous utilisez les Services, Vous et Vos utilisateurs acceptez de ne pas Vous livrer Ă  des activitĂ©s illĂ©gales, frauduleuses, fausses ou trompeuses (par exemple, usurper l’identitĂ© d’une autre personne, manipuler les Services).

Si Nous avons connaissance de toute utilisation des Services par Vous ou Vos utilisateurs que Nous jugeons rĂ©prĂ©hensible, inappropriĂ©e ou en violation des conditions du prĂ©sent Accord ou de la Loi en vigueur, Nous rĂ©pondrons de la maniĂšre que Nous jugerons appropriĂ©e, Ă  Notre seule discrĂ©tion, y compris, mais sans s’y limiter, (a) en suspendant ou en rĂ©siliant Votre accĂšs aux Services ou celui de Vos utilisateurs; (b) en bloquant la livraison de communications vers ou depuis les Services; (c) en supprimant ou en refusant de publier Votre contenu; ou (d) en signalant aux autoritĂ©s chargĂ©es de l’application de la loi de toute action pouvant ĂȘtre considĂ©rĂ©e comme illĂ©gale, ainsi que de tout rapport que Nous recevons concernant une telle conduite. Sur demande, Nous coopĂ©rerons pleinement avec les organismes d’application de la loi dans le cadre de toute enquĂȘte sur une activitĂ© illĂ©gale prĂ©sumĂ©e sur Internet. Nous Nous rĂ©servons le droit d’examiner votre contenu afin de rĂ©soudre tout problĂšme. Cependant, Nous ne pouvons pas surveiller l’ensemble des Services et ne faisons aucune tentative en ce sens.

Vous acceptez Ă©galement de mettre Ă  jour rapidement ces renseignements s’ils changent Ă  tout moment au cours de Votre utilisation des Services. Vous dĂ©clarez Ă©galement que Vous n’ĂȘtes pas empĂȘchĂ© d’utiliser les Services en vertu de toute Loi en vigueur. Vous ĂȘtes seul responsable des activitĂ©s de toute personne accĂ©dant aux Services ou Ă  Votre compte Ă  l’aide de Vos identifiants de connexion. Vous devez Nous informer rapidement de toute utilisation non autorisĂ©e de Vos identifiants de connexion ou des Services et modifier rapidement Votre mot de passe si Votre compte a Ă©tĂ© compromis. Vous acceptez de ne pas crĂ©er de compte en utilisant des renseignements faux, inexacts ou trompeurs (par exemple en utilisant une fausse identitĂ© ou un alias) ou si on Vous a dĂ©jĂ  interdit d’utiliser les Services. Vous acceptez en outre que Vous ne conserverez pas plus d’un compte pour les Services Ă  tout moment donnĂ©.

2.5 Équipement/Forfaits de donnĂ©es. Pour utiliser les Services, Vous aurez besoin d’une connexion Internet ou d’un forfait de donnĂ©es ou cellulaire. 3. DROITS DE PROPRIÉTÉ INTELLECTUELLE

3.1 Nos droits. Vous ne ferez pas de Commentaires soumis Ă  une licence qui Nous oblige Ă  accorder une licence pour ses logiciels, ses technologies ou sa documentation Ă  un tiers parce que Nous y incluons Vos commentaires. Vous possĂ©dez Votre MatĂ©riel de marque. Vous Nous accordez une licence non exclusive et non transfĂ©rable Nous permettant d’utiliser Votre MatĂ©riel de marque pour la fourniture des Services, la publication de matĂ©riel sur Notre site Web et la production de matĂ©riel de marketing pour promouvoir Nos produits et services, ce qui peut inclure la divulgation de Votre relation avec Nous.

4. FRAIS ET PAIEMENTS

4.1 Frais. Vous ĂȘtes responsable du paiement de tous les frais, qui peuvent inclure, sans toutefois s’y limiter, les frais d’abonnement aux Services ou ceux indiquĂ©s dans tout Bon de commande, pour les Services associĂ©s au prĂ©sent Accord. Les frais seront divulguĂ©s et Ă©valuĂ©s, selon les besoins, conformĂ©ment Ă  Nos procĂ©dures, et Nous pourrons les modifier Ă  Notre seule discrĂ©tion, de temps Ă  autre. Les frais pour les Services excluent toutes les taxes applicables, sauf indication contraire. Nous pouvons suspendre ou annuler les Services si Nous ne recevons pas un paiement complet et ponctuel de votre part. La suspension ou l’annulation des Services pour dĂ©faut de paiement pourrait entraĂźner une perte d’accĂšs et d’utilisation de Votre compte et de Votre contenu. La connexion Ă  Internet par le biais d’un rĂ©seau d’entreprise ou d’un autre rĂ©seau privĂ© qui masque votre emplacement peut entraĂźner des frais diffĂ©rents de ceux affichĂ©s pour Votre emplacement rĂ©el. Sauf indication contraire dans le prĂ©sent Accord, tous les achats sont dĂ©finitifs et non remboursables. Si Vous pensez que Nous Vous avons facturĂ© par erreur, Vous devez Nous contacter dans les quatre-vingt-dix (90) jours suivant la facturation. Aucun remboursement ne sera effectuĂ© pour des frais datant de plus de quatre-vingt-dix (90) jours. Nous Nous rĂ©servons le droit d’émettre des remboursements ou des crĂ©dits Ă  notre seule discrĂ©tion. Si Nous Ă©mettons un remboursement ou un crĂ©dit, Nous n’avons aucune obligation d’émettre un remboursement ou un crĂ©dit identique ou semblable Ă  l’avenir. Cette politique de remboursement ne concerne pas les droits statutaires qui peuvent s’appliquer.

4.2 Taxes. Vous ĂȘtes responsable de toutes les Taxes et Nous paierez pour les Services sans aucune rĂ©duction pour de tels montants. Si Nous sommes obligĂ©s de percevoir ou de payer des Taxes, Nous les inclurons sur Notre facture, Ă  moins que Vous ne Nous fournissiez un certificat d’exonĂ©ration fiscale valide, autorisĂ© par l’autoritĂ© fiscale compĂ©tente. Si la Loi Vous oblige Ă  retenir des Taxes sur Vos paiements, Vous devez Nous fournir des documents officiels justifiant ces retenues.

4.3 Factures; Paiement; Retard de paiement. Tous les montants sont dus et payables Ă  la rĂ©ception de Votre facture ou de toute autre mĂ©thode de facturation du Service, sauf indication contraire dans les relevĂ©s de facturation. Vous Nous rembourserez les frais raisonnables de recouvrement, y compris les honoraires et frais juridiques. En outre, Vous acceptez de Nous permettre d’utiliser tout renseignement de compte mise Ă  jour concernant votre mĂ©thode de paiement sĂ©lectionnĂ©e, fournie par Votre institution financiĂšre Ă©mettrice ou le rĂ©seau de paiement applicable. Vous acceptez de mettre rapidement Ă  jour Votre compte et d’autres renseignements, y compris Votre adresse Ă©lectronique et les dĂ©tails de Votre mĂ©thode de paiement, afin que Nous puissions effectuer Vos transactions et Vous contacter si nĂ©cessaire en rapport avec ces derniĂšres. Les modifications apportĂ©es Ă  Votre compte de facturation ne toucheront pas les frais que Nous soumettons Ă  Votre compte de facturation avant que Nous puissions raisonnablement agir sur Vos modifications de Votre compte de facturation. En Nous fournissant une mĂ©thode de paiement, Vous : (a) dĂ©clarez que Vous ĂȘtes autorisĂ© Ă  utiliser le mode de paiement que Vous avez fourni et que tous les renseignements de paiement que Vous fournissez sont vrais et exacts; (b) Nous autorisez Ă  Vous facturer les Services ou le Contenu disponible en utilisant Votre mode de paiement; et (c) Nous autorisez Ă  Vous facturer toute fonction payante des Services Ă  laquelle Vous choisissez de Vous inscrire ou que Vous utilisez pendant que le prĂ©sent Accord est en vigueur. Nous pouvons Vous facturer en mĂȘme temps pour plusieurs de Vos pĂ©riodes de facturation antĂ©rieures pour des montants qui n’ont pas encore Ă©tĂ© traitĂ©s.

4.4 Frais rĂ©currents. Lorsque Vous achetez les Services sur la base d’un abonnement (par exemple, mensuel, trimestriel ou annuel), Vous acceptez d’autoriser des paiements rĂ©currents, et les paiements Nous seront effectuĂ©s selon la mĂ©thode et aux intervalles rĂ©currents que Vous avez acceptĂ©s, jusqu’à ce que l’abonnement Ă  ce Service soit rĂ©siliĂ© par Vous ou par Nous. En autorisant les paiements rĂ©currents, Vous Nous autorisez Ă  stocker Votre instrument de paiement et Ă  traiter ces paiements soit comme des dĂ©bits Ă©lectroniques ou des transferts de fonds, soit comme des traites Ă©lectroniques de Votre compte dĂ©signĂ© (pour les paiements par chambre de compensation automatisĂ©e ou autres paiements semblables), soit comme des frais sur Votre compte dĂ©signĂ© (pour les paiements par carte de crĂ©dit ou autres paiements semblables) (collectivement, les « Paiements Ă©lectroniques »). Les frais d’abonnement sont gĂ©nĂ©ralement facturĂ©s avant la pĂ©riode d’abonnement applicable. Si un paiement est retournĂ© impayĂ© ou si une carte de crĂ©dit ou une transaction semblable est rejetĂ©e ou refusĂ©e, Nous ou Nos prestataires de Services Nous rĂ©servons le droit de percevoir tous les frais de retour, de rejet ou d’insuffisance de fonds et de traiter un tel paiement comme un Paiement Ă©lectronique.

4.5 Offres promotionnelles. De temps Ă  autre, Nous pouvons offrir des services pour une pĂ©riode d’essai pendant laquelle Nous ne Vous facturerons pas les Services. Nous Nous rĂ©servons le droit de Vous facturer ces Services (au tarif normal) si Nous dĂ©terminons, Ă  Notre discrĂ©tion raisonnable, que Vous ne respectez pas les conditions de l’offre ou du prĂ©sent Accord.


5. DURÉE ET RÉSILIATION

5.1 DurĂ©e. Le prĂ©sent Accord commencera Ă  la Date d’entrĂ©e en vigueur et se poursuivra jusqu’à l’expiration ou la rĂ©siliation de Votre utilisation de tous les Services. La durĂ©e initiale et les pĂ©riodes de renouvellement sont collectivement la « DurĂ©e ».

5.2 RĂ©siliation initiĂ©e par vous. Si Vous souhaitez mettre fin Ă  Votre relation avec Nous, Vous devez Nous en informer par courrier Ă©lectronique Ă  l’adresse suivante : privacy@granular.ag et Nous fournir tout renseignement relatif au compte supplĂ©mentaire nĂ©cessaire pour mettre fin Ă  Notre relation avec Vous.

5.3 RĂ©siliation initiĂ©e par nous. Nous pouvons rĂ©silier le prĂ©sent Accord en fournissant un avis Ă  une adresse courriel associĂ©e Ă  Votre compte et en Ă©mettant un remboursement au prorata de tous les frais d’abonnement prĂ©payĂ©s et inutilisĂ©s. Le prĂ©sent Accord sera automatiquement rĂ©siliĂ© sans remboursement si Vous faites l’objet d’une requĂȘte en faillite ou de toute autre procĂ©dure relative Ă  l’insolvabilitĂ©, Ă  la mise sous sĂ©questre, Ă  la liquidation ou Ă  la cession au profit des crĂ©anciers. En outre, si Nous prenons connaissance d’une utilisation non autorisĂ©e des Services par Vous ou Vos utilisateurs, ou d’activitĂ©s que Nous jugeons inappropriĂ©es ou rĂ©prĂ©hensibles en ce qui concerne les Services, Nous pouvons rĂ©pondre de toute maniĂšre que Nous estimons appropriĂ©e, Ă  Notre entiĂšre discrĂ©tion, ce qui peut inclure la rĂ©siliation du prĂ©sent Accord sans prĂ©avis et sans aucun remboursement de frais. En cas de rĂ©siliation, Vous et Vos Utilisateurs devez immĂ©diatement supprimer et dĂ©truire tous application tĂ©lĂ©chargĂ©e, Contenu et documents imprimĂ©s liĂ©s aux Services.

5.4 Droits et obligations en cas de rĂ©siliation. À l’expiration ou Ă  la rĂ©siliation du prĂ©sent Accord (qu’elle soit initiĂ©e par Vous ou par Nous), Vous et Vos utilisateurs n’aurez immĂ©diatement plus le droit d’accĂ©der aux Services, et Vos licences liĂ©es aux Services prendront fin. Nous pouvons ou non supprimer Votre contenu associĂ© aux Services ou le dissocier de Vous et de Votre compte (Ă  moins que la Loi ne Nous oblige Ă  le conserver ou Ă  le transfĂ©rer Ă  Vous ou Ă  un tiers identifiĂ© par Vous). Vous ne pourrez donc plus accĂ©der Ă  Votre Contenu que Vous avez stockĂ© sur les Services. Vous devriez avoir un plan de sauvegarde.

5.5 Survie. Les droits et obligations Ă©noncĂ©s aux paragraphes 2, 3, 6, 7, 8, 9 et 10 survivront Ă  toute expiration ou rĂ©siliation du prĂ©sent Accord.


6. GARANTIE LIMITÉE ET LIMITATIONS DE RESPONSABILITÉ

6.1 Garantie limitĂ©e. Nous garantissons que les Services fonctionneront de maniĂšre substantielle conformĂ©ment Ă  Nos spĂ©cifications alors disponibles pour les Services. Votre seul et unique recours en cas de violation de la garantie qui prĂ©cĂšde consiste Ă  Nous permettre de rĂ©exĂ©cuter les Services d’une maniĂšre qui soit conforme Ă  la prĂ©sente garantie. Si Nous sommes incapables de corriger la non-conformitĂ©, ou s’il n’est pas commercialement raisonnable de le faire, Nous pouvons, Ă  Notre discrĂ©tion, rĂ©silier cet Accord et Vous fournir un remboursement au prorata des frais payĂ©s Ă  l’avance pour la DurĂ©e applicable.

6.2 Limitations de responsabilitĂ©. LES LOIS DE CERTAINES JURIDICTIONS, QUI PEUVENT INCLURE LA PROVINCE DE QUÉBEC, NE PERMETTENT PAS L’EXCLUSION OU LA LIMITATION DE GARANTIES NI DE LIMITATIONS DE RESPONSABILITÉ. SI CES LOIS S’APPLIQUENT À VOUS, TOUTES LES EXCLUSIONS OU LIMITATIONS CI-APRÈS OU CERTAINES D’ENTRE ELLES PEUVENT NE PAS S’APPLIQUER À VOUS, ET VOUS POUVEZ AVOIR DES DROITS SUPPLÉMENTAIRES. Votre utilisation des Services ou de Nos Renseignements, y compris, sans limitation, tous renseignements, matĂ©riaux, applications tĂ©lĂ©chargĂ©es, renseignements agronomiques, donnĂ©es de rendement, donnĂ©es historiques, prĂ©visions mĂ©tĂ©orologiques, conseils, prix des produits de base ou Ă©valuation des terres, est Ă  Vos propres risques. Certains Services sont particuliers Ă  l’emplacement et les Services offerts dans un emplacement peuvent ne pas l’ĂȘtre dans un autre emplacement. Les rĂ©sultats de tout rapport, produit ou recommandation Ă©manant des Services reposent en grande partie sur l’intĂ©gralitĂ©, la ponctualitĂ©, la vĂ©racitĂ© et l’exactitude de Vos Renseignements. Tout renseignement incorrect saisi par Vous ou Vos utilisateurs nuira Ă  ce rapport, ce produit ou cette recommandation, les rendant potentiellement incorrects ou dommageables. MĂȘme si Vos Renseignements sont intĂ©graux, ponctuels, vĂ©ridiques et exacts, Nous ne garantissons pas que tout produit, rapport ou recommandation offert par ou par le biais des Services sera correct, adĂ©quat ou utile pour Vous ou Votre emplacement, Vous fera Ă©conomiser de l’argent ou du temps, augmentera les profits, les rendements ou tout autre rĂ©sultat, ni qu’il Vous permettra de respecter Vos objectifs. Vous devez utiliser Votre propre jugement pour dĂ©terminer si Vous souhaitez adopter, utiliser ou Vous conformer, en tout ou en partie, Ă  tout rapport, produit ou recommandation des Services. Nous ne sommes responsables d’aucun de Vos actes ou omissions rĂ©sultant de Vos actions ou inactions rĂ©sultant de ces rapports, produits ou recommandations, ni de ceux de Vos utilisateurs. Nous ne garantissons pas que les Services seront ininterrompus, opportuns, sĂ©curisĂ©s ou sans erreur ou que la perte de Contenu ne se produira pas, et Nous ne garantissons aucune connexion ou transmission Ă  partir des rĂ©seaux informatiques. En se connectant aux Services, la partie de liaison s’engage Ă  Nous indemniser et Ă  Nous protĂ©ger contre tous les pertes, coĂ»ts, dommages, rĂ©clamations, actions ou responsabilitĂ©s dĂ©coulant d’un tel lien. Nous n’aurons aucune responsabilitĂ© pour tout dommage indirect, exemplaire, accessoire, punitif, spĂ©cial ou consĂ©cutif en ce qui concerne le lien ou l’utilisation d’un tel lien. Granular ne donne aucune garantie, expresse ou implicite, concernant ces liens.


8. LIMITATION DE RESPONSABILITÉ.

En aucune circonstance et sous aucune thĂ©orie lĂ©gale (contractuelle, dĂ©lictuelle, nĂ©gligente ou autre), Nous, ou Nos AffiliĂ©s, ou Nos dirigeants, directeurs, intervenants, employĂ©s, agents, fournisseurs, reprĂ©sentants, concĂ©dants ou tiers fournissant des services (ou ceux de Nos AffiliĂ©s) serons responsables envers Vous, Vos utilisateurs ou tout tiers pour tout dommage indirect, accessoire, spĂ©cial, exemplaire, consĂ©cutif, punitif ou similaire, y compris perte de profits, perte de ventes ou d’affaires, perte de donnĂ©es, interruption des activitĂ©s ou toute autre perte subie par Vous ou tout tiers rĂ©sultant de ou en relation avec cet Accord ou l’utilisation, ou l’impossibilitĂ© d’utiliser, les Services, peu importe si Nous avons Ă©tĂ© informĂ©s de la possibilitĂ© ou aurions pu prĂ©voir de tels dommages.

Nonobstant toute disposition contraire dans le prĂ©sent Accord ou l’échec de l’objectif essentiel de tout recours limitĂ©, si Vous avez une base pour recouvrer des dommages-intĂ©rĂȘts (y compris la violation du prĂ©sent Accord), Vous acceptez que Votre recours exclusif consiste Ă  recouvrer de Nous ou de Nos AffiliĂ©s (y compris Nos dirigeants, administrateurs, actionnaires, employĂ©s, agents, fournisseurs, reprĂ©sentants, concĂ©dants et prestataires de services tiers [ou ceux de Nos AffiliĂ©s]) des dommages directs jusqu’à un montant Ă©gal aux frais que Vous avez payĂ©s pour le mois au cours duquel la perte ou la violation s’est produite, ou dans le cas oĂč Vous n’avez pas payĂ© des frais, 25,00 $ US. Vous ne pouvez pas rĂ©cupĂ©rer d’autres dommages ou pertes. Ces limitations et exclusions s’appliquent mĂȘme si ce recours ne vous indemnise pas entiĂšrement pour les pertes ou Ă©choue Ă  son objectif essentiel. Dans toute la mesure permise par la Loi, ces limitations et exclusions s’appliquent Ă  toute rĂ©clamation liĂ©e au prĂ©sent Accord, aux Services ou au logiciel liĂ© aux Services. Vous reconnaissez et acceptez que le but essentiel de ce paragraphe 7 est de rĂ©partir les risques en vertu de cet Accord entre les parties et de limiter la responsabilitĂ© potentielle Ă©tant donnĂ© les frais, qui auraient Ă©tĂ© considĂ©rablement plus Ă©levĂ©s si Nous avions dĂ» assumer une autre responsabilitĂ© que celle dĂ©finie ci-aprĂšs. Nous Nous sommes fondĂ©s sur ces limitations pour dĂ©terminer s’il est nĂ©cessaire de Vous accorder les droits d’accĂšs et d’utilisation des Services prĂ©vus dans le prĂ©sent Accord.

Certaines juridictions n’autorisent pas l’exclusion de garanties implicites ou la limitation de responsabilitĂ© pour des dommages accessoires ou indirects, ce qui signifie que certaines des limitations ci-dessus peuvent ne pas s’appliquer Ă  Vous. Dans ces juridictions, Notre responsabilitĂ© sera limitĂ©e dans la plus large mesure permise par la Loi en vigueur. 9. RÉSOLUTION DES LITIGES; ACCORD D’ARBITRAGE OBLIGATOIRE, RENONCIATION AUX RECOURS COLLECTIFS ET RENONCIATION AU PROCÈS DEVANT JURY

9.1 ACCORD D’ARBITRAGE OBLIGATOIRE ET RENONCIATION AUX RECOURS COLLECTIFS

Vous et Nous convenons de rĂ©soudre tous les litiges, controverses ou rĂ©clamations qui dĂ©coulent de quelque maniĂšre que ce soit du prĂ©sent Accord ou de toute portion ou tout aspect des Services (« Litige »), uniquement par voie d’arbitrage sur une base individuelle devant l’American Arbitration Associations (« AAA ») en vertu de la Federal Arbitration Act (« FAA »), et de ne pas poursuivre en justice devant un juge ou un jury. Le terme « Litige » doit ĂȘtre interprĂ©tĂ© aussi largement que possible et comprend toute rĂ©clamation ou controverse entre Vous et Nous concernant les Services, les logiciels idoines, le prix des Services, Votre compte, la publicitĂ©, le marketing, les communications, Votre transaction d’achat, Votre facturation ou les conditions du prĂ©sent Accord, en vertu de toute thĂ©orie juridique, y compris le contrat, la garantie, les dĂ©lits, la Loi ou la rĂ©glementation, Ă  l’exception des litiges relatifs Ă  l’application ou Ă  la validitĂ© de Vos ou Nos droits de propriĂ©tĂ© intellectuelle ou de ceux de Nos concĂ©dants.

Vous comprenez qu’en acceptant cet Accord, l’arbitrage sera le seul et unique moyen de rĂ©soudre tout Litige entre Vous et Nous. Vous comprenez Ă©galement qu’en acceptant le prĂ©sent Accord, Vous et Nous renonçons au droit de prĂ©senter un Litige devant un tribunal ou devant un jury (Ă  l’exception des affaires pouvant ĂȘtre portĂ©es devant un tribunal des petites crĂ©ances), et que Vous et Nous renonçons au droit de poursuivre tout recours collectif ou autre action reprĂ©sentative. Un arbitre neutre tranchera plutĂŽt, et sa dĂ©cision sera dĂ©finitive, Ă  l’exception du droit de rĂ©vision limitĂ© en vertu de la FAA. Bien que les procĂ©dures d’arbitrage puissent diffĂ©rer des procĂ©dures judiciaires, un arbitre peut Vous accorder individuellement les mĂȘmes dommages et intĂ©rĂȘts qu’un tribunal, et le jugement de la sentence rendue par l’arbitre peut ĂȘtre inscrit et appliquĂ© dans tout tribunal compĂ©tent. Vous et Nous comprenons que, sans cette disposition impĂ©rative, Vous et Nous aurions le droit de poursuivre en justice et d’avoir un procĂšs avec jury. Vous et Nous comprenons en outre que, dans certains cas, les coĂ»ts de l’arbitrage pourraient excĂ©der ceux du litige et que le droit d’interrogatoire prĂ©alable pourrait ĂȘtre plus limitĂ© en arbitrage qu’au tribunal.

Tel qu’utilisĂ© dans le prĂ©sent paragraphe 9, « Nous », « Notre », « Nos » et « NĂŽtre » incluent Granular, Inc. et ses AffiliĂ©s.

9.2 PROCÉDURE D’ARBITRAGE

  • 9.2.1 Avis de litige. Si Vous ou Nous avons l’intention d’arbitrer un Litige en vertu du prĂ©sent Accord, la partie qui demande l’arbitrage doit d’abord notifier le Litige Ă  l’autre partie au moins soixante (60) jours avant le dĂ©but de l’arbitrage. Vous devez Nous envoyer un avis Ă  l’adresse suivante : 731 Market St., 6e étage, San Francisco, CA 94103 ou Ă  l’adresse legalassist@granular.ag. Un avis Vous sera envoyĂ© Ă  Votre adresse Ă©lectronique ou Ă  l’adresse postale dans Nos registres au moment de l’envoi de l’avis. L’avis doit dĂ©crire Votre nom, Votre adresse, la maniĂšre de communiquer avec Vous, le problĂšme ainsi que ce que Vous voulez. Nous ferons de mĂȘme si Nous avons un Litige avec Vous. Si Vous et Nous ne sommes pas en mesure de rĂ©soudre le Litige dans les soixante (60) jours, Vous ou Nous pouvons entreprendre l’arbitrage.
  • 9.2.2 Moment de la notification. Vous et Nous convenons que l’avis prĂ©vu au paragraphe 8.2.1 doit ĂȘtre envoyĂ© dans un dĂ©lai d’un (1) an aprĂšs que la cause ou la rĂ©clamation Ă  l’origine du Litige s’est produite. Si l’avis n’est pas fourni dans ce dĂ©lai, il est dĂ©finitivement interdit.
  • 9.2.3 Lieu d’arbitrage. L’arbitrage doit avoir lieu Ă  San Francisco, en Californie, aux États-Unis, Ă  moins que Vous et Nous convenions d’un lieu diffĂ©rent.
  • 9.2.4 ProcĂ©dure d’arbitrage. La FAA s’applique Ă  la prĂ©sente convention. Tous les Litiges seront rĂ©solus par arbitrage administrĂ© par l’AAA. L’AAA appliquera les rĂšgles d’arbitrage commercial Ă  l’arbitrage de tout Litige conformĂ©ment aux prĂ©sentes, Ă  moins que Vous ne soyez un particulier et que Vous utilisiez les Services Ă  des fins personnelles, auquel cas les rĂšgles d’arbitrage du consommateur de l’AAA s’appliqueront (excluant tout rĂšglement ou procĂ©dure gouvernant ou permettant les recours collectifs). Vous pouvez obtenir des renseignements en matiĂšre de procĂ©dures et de frais relatifs Ă  l’arbitrage auprĂšs de l’AAA. En cas de conflit entre le prĂ©sent Accord et les rĂšgles d’arbitrage commercial ou les rĂšgles d’arbitrage du consommateur de l’AAA, le prĂ©sent Accord prĂ©vaut. Dans le cas d’un Litige portant sur 25 000 $ US ou moins, toute audience sera tĂ©lĂ©phonique, Ă  moins que l’arbitre ne trouve une raison valable pour tenir une audience en personne. L’arbitre peut Vous accorder les mĂȘmes dommages et intĂ©rĂȘts individuels qu’un tribunal. L’arbitre peut accorder un jugement dĂ©claratoire ou une mesure injonctive uniquement Ă  Vous individuellement pour satisfaire Votre demande individuelle. Selon les rĂšgles de l’AAA, l’arbitre statue sur sa propre compĂ©tence, y compris sur le caractĂšre arbitrable de tout Litige. Mais un tribunal dĂ©tient l’autoritĂ© exclusive de faire respecter l’interdiction d’arbitrage Ă  l’échelle d’une classe ou en tant que reprĂ©sentant.
  • 9.2.5 Frais d’arbitrage et coĂ»ts. Vous et Nous partagerons Ă©galement les frais et coĂ»ts associĂ©s Ă  l’AAA. Vous ĂȘtes responsable de Vos frais et dĂ©penses juridiques et Nous sommes responsables des NĂŽtres.
  • 9.2.6 DivisibilitĂ©. Si un tribunal compĂ©tent juge qu’une partie du prĂ©sent Accord est inexĂ©cutable, elle la rĂ©formera dans la mesure nĂ©cessaire pour remĂ©dier aux parties inexĂ©cutables, et Vous et Nous arbitrerons le Litige sans rĂ©fĂ©rence aux parties inexĂ©cutables et sans nous y fier.
  • 9.2.7 Refus des modifications futures de l’arbitrage. Vous pouvez rejeter toute modification que Nous apportons au paragraphe 9 (Ă  l’exception des changements d’adresse) en Nous envoyant une notification dans les trente (30) jours suivant la modification par courrier amĂ©ricain Ă  l’adresse indiquĂ©e au paragraphe 9.2.1. Dans ce cas, la version la plus rĂ©cente du paragraphe 9 avant la modification que Vous avez rejetĂ©e s’appliquera.

9.3 Renonciation au procĂšs devant jury pour les clients des États-Unis et les clients ayant des ActivitĂ©s ou des Utilisateurs aux États-Unis. Si, pour une raison quelconque, un Litige se dĂ©roule devant un tribunal plutĂŽt que par arbitrage, Vous et Nous convenons qu’il n’y aura pas de procĂšs devant jury. Vous et Nous renonçons inconditionnellement Ă  tout droit de procĂšs devant jury dans le cadre de toute action, procĂ©dure ou demande reconventionnelle dĂ©coulant de quelque maniĂšre que ce soit du prĂ©sent Accord ou en relation avec ce dernier. En cas de Litige, ce paragraphe peut ĂȘtre dĂ©posĂ© pour montrer un consentement Ă©crit Ă  un procĂšs devant le tribunal.

9.4 Renonciation aux recours collectifs pour les clients des États-Unis et les clients ayant des ActivitĂ©s ou des Utilisateurs aux États-Unis. Cet Accord ne permet pas les arbitrages de classe ou collectifs, mĂȘme si les procĂ©dures ou rĂšgles d’arbitrage le permettaient. Nonobstant toute autre disposition de ces conditions, l’arbitre peut n’accorder une somme d’argent ou une mesure injonctive qu’en faveur de la partie individuelle demandant rĂ©paration et uniquement dans la mesure nĂ©cessaire pour fournir la rĂ©paration justifiĂ©e par la demande individuelle de cette partie. Les procĂ©dures d’arbitrage ou judiciaires conduites en vertu du prĂ©sent Accord ne peuvent ĂȘtre ni engagĂ©es, ni maintenues, ni rĂ©solues au nom d’un groupe, en tant que procureur gĂ©nĂ©ral privĂ© ou tout autre poste de reprĂ©sentant. En outre, les procĂ©dures individuelles ne peuvent ĂȘtre combinĂ©es sans le consentement de toutes les parties. Toute question concernant le caractĂšre exĂ©cutoire ou l’interprĂ©tation de ce paragraphe sera tranchĂ©e par un tribunal et non par l’arbitre.


10. INDEMNISATION

10.1 Indemnisation de Notre part. Nous Vous dĂ©fendrons contre toute rĂ©clamation, demande, poursuite ou procĂ©dure intentĂ©e contre Vous par une tierce partie allĂ©guant que l’utilisation des Services conformĂ©ment au prĂ©sent Accord enfreint ou dĂ©tourne les droits de propriĂ©tĂ© intellectuelle de cette tierce partie (une « RĂ©clamation contre Vous »), et Vous indemnisera : (a) des dommages, indemnitĂ©s ou frais finalement adjugĂ©s contre Vous ou (b) des montants versĂ©s par Vous en vertu d’un rĂšglement approuvĂ© par un tribunal d’une rĂ©clamation contre Vous, Ă  condition que Vous Nous en avisiez promptement par Ă©crit et Nous octroyiez le contrĂŽle exclusif de la dĂ©fense et du rĂšglement de la RĂ©clamation contre Vous (sauf que Nous ne pouvons rĂ©gler aucune RĂ©clamation contre Vous Ă  moins que celle-ci ne Vous libĂšre de toute responsabilitĂ©). De plus, Vous devez Nous fournir toute l’assistance raisonnable, Ă  Nos frais. Si Nous recevons des renseignements sur une action en contrefaçon ou en appropriation illicite liĂ©e Ă  un Service, Nous pouvons, Ă  Notre entiĂšre discrĂ©tion et sans frais pour Vous, (x) modifier le Service afin qu’il ne porte plus atteinte et ne soit plus dĂ©tournĂ©, sans enfreindre les garanties Ă©noncĂ©es au paragraphe 6.1, (y) obtenir une licence pour Votre utilisation continue de ce Service conformĂ©ment au prĂ©sent Accord, ou (z) mettre fin Ă  Vos abonnements Ă  ce Service moyennant un prĂ©avis Ă©crit de trente (30) jours et Vous rembourser des frais au prorata couvrant la durĂ©e restante des abonnements rĂ©siliĂ©s. Les obligations de dĂ©fense et d’indemnisation susmentionnĂ©es ne s’appliquent pas : (i) dans la mesure oĂč une rĂ©clamation contre Vous dĂ©coule de Votre violation du prĂ©sent Accord, (ii) si les Services auxquels Vous avez accĂšs sont fournis gratuitement, ou (iii) si Vous utilisez un ou plusieurs services de maniĂšre illicite et si une maniĂšre d’utilisation non litigieuse est disponible.

10.2 Indemnisation de Votre part. Vous ĂȘtes seul responsable de Vos actions liĂ©es Ă  l’utilisation des Services ou des actions de toute personne utilisant Vos Identifiants de connexion ou Votre appareil informatique. En tant que tel, Vous Nous dĂ©fendrez contre toute rĂ©clamation, demande, poursuite ou procĂ©dure engagĂ©e ou intentĂ©e contre Nous ou Nos AffiliĂ©s par un tiers concernant de quelque maniĂšre que ce soit Vous, Vos Utilisateurs ou toute personne utilisant Vos Identifiants de connexion ou Votre appareil informatique : (a) violation du prĂ©sent Accord; (b) utilisation des Services des logiciels idoines ou de Nos Renseignements; (c) toute allĂ©gation selon laquelle Vos Renseignements, ou Votre utilisation de tout Service, logiciel idoine ou de Nos Renseignements, par Vous ou Vos utilisateurs autres que conformĂ©ment au prĂ©sent Accord, enfreignent ou dĂ©tournent les droits de propriĂ©tĂ© intellectuelle de ce tiers ou violent la Loi en vigueur, que cette utilisation provienne de Vous, de Vos utilisateurs ou de toute personne utilisant Vos identifiants ou Votre appareil (une « RĂ©clamation contre Nous »). Vous Nous indemniserez de tous : (y) dommages-intĂ©rĂȘts, indemnitĂ©s, pĂ©nalitĂ©s ou frais finalement imputĂ©s Ă  Nous en dĂ©coulant, et (z) sommes versĂ©es par Nous en vertu d’un rĂšglement approuvĂ© par un tribunal d’une RĂ©clamation contre Nous, Ă  condition que Nous Vous en avisions rapidement par Ă©crit, Vous donnions le contrĂŽle exclusif de la dĂ©fense et du rĂšglement de la RĂ©clamation contre Nous (sauf que Vous ne pouvez rĂ©gler aucune RĂ©clamation contre Nous Ă  moins que cela ne Nous libĂšre de toute responsabilitĂ©), et Vous fournissions toute l’assistance raisonnable, Ă  Vos frais.

10.3 Recours exclusif. Ce paragraphe 10 Ă©nonce la responsabilitĂ© exclusive et le recours exclusif de la partie indemnisĂ©e contre l’autre partie pour tout type de rĂ©clamation dĂ©crite dans ce paragraphe 10.


11. DIVERS

11.1 Loi en vigueur. Le prĂ©sent Accord et toutes les questions dĂ©coulant de cet Accord ou y Ă©tant liĂ©es sont rĂ©gis par les Lois de Halifax, Nouvelle-Écosse, Canada, sans tenir compte de ses dispositions relatives aux conflits de lois. Si, pour quelque motif que ce soit, un Litige se dĂ©roule devant un tribunal plutĂŽt que par arbitrage, il ne peut ĂȘtre tenu que devant les tribunaux d’État ou fĂ©dĂ©raux situĂ©s dans Halifax, Nouvelle-Écosse, Canada. Par la prĂ©sente, Vous et Nous Nous soumettons Ă  la juridiction exclusive de ces tribunaux dans une telle action ou procĂ©dure, et convenons que ce lieu est appropriĂ©, et renonçons Ă  tout moyen de dĂ©fense relatif Ă  la juridiction, au lieu ou Ă  la prĂ©tention que ce tribunal est un forum inopportun. Les parties renoncent expressĂ©ment la convention britannique sur les contrats de vente internationale de marchandises.

11.2 Lois sur l’exportation. Vous devez Vous conformer Ă  toutes les Lois et rĂ©glementations nationales et internationales en matiĂšre d’exportation qui s’appliquent au logiciel ou aux Services, y compris les restrictions sur les destinations, les utilisateurs finaux et l’utilisation finale.

11.3 Accord complet. Cet Accord, y compris les Conditions supplĂ©mentaires, constitue l’intĂ©gralitĂ© de l’accord entre les parties concernant le sujet qui la concerne et remplace tous les accords, ententes et communications antĂ©rieurs ou contemporains, qu’ils soient Ă©crits ou oraux.

11.4 Contenu de tiers. Les Services peuvent contenir ou permettre l’accĂšs Ă  du contenu, des logiciels, des services ou des sites Web tiers soumis Ă  des conditions de licence diffĂ©rentes. Votre utilisation de ces services est rĂ©gie par les conditions applicables. Vous ĂȘtes responsable de l’obtention et du respect de tous les droits ou licences nĂ©cessaires concernant le contenu, les logiciels, les services ou les sites Web tiers.

11.5 AccĂšs au service. Vous ĂȘtes responsable de tout le matĂ©riel tĂ©lĂ©phonique et autre, le logiciel (autre que tout logiciel fourni par Nous), le matĂ©riel et les services (y compris l’accĂšs Ă  Internet) nĂ©cessaires pour accĂ©der aux Services et les utiliser, et devez le fournir.

11.6 Modification. Nous pouvons modifier cet Accord Ă  tout moment. Toutes les modifications entreront en vigueur lorsque Nous publierons l’Accord rĂ©visĂ© sur les Services. Votre utilisation des Services Ă  la suite de ces modifications signifie que Vous acceptez l’Accord rĂ©visĂ©. 11.7 Renonciation. La renonciation par Nous de tout manquement ou violation du présent Accord ne constitue pas une renonciation à tout autre manquement ou violation ultérieurs.

11.8 Force majeure. Nous ne serons en aucun cas responsables de Notre incapacitĂ© Ă  respecter l’un de Nos engagements ou obligations en vertu du prĂ©sent Accord si cette omission rĂ©sulte d’évĂ©nements ou de circonstances raisonnablement indĂ©pendantes de Notre volontĂ©.

11.9 Avis. Nous pouvons Vous contacter pĂ©riodiquement, Vous ou Vos Utilisateurs, par courrier Ă©lectronique ou par un autre moyen, afin de Vous informer des mises Ă  jour de Services, offres spĂ©ciales ou autres renseignements que Nous jugeons susceptibles d’ĂȘtre utiles.

11.10 DivisibilitĂ©. Si l’une des dispositions du prĂ©sent Accord est jugĂ©e invalide ou inapplicable, elle sera appliquĂ©e dans la mesure du possible, et les autres dispositions du prĂ©sent Accord resteront en vigueur. Les parties conviennent qu’aucune des parties ne sera rĂ©putĂ©e ĂȘtre la rĂ©dactrice du prĂ©sent Accord et que, dans l’éventualitĂ© oĂč l’une des dispositions de celui-ci serait ambiguĂ«, cette derniĂšre ne sera pas interprĂ©tĂ©e en faveur d’une partie au motif que la disposition a Ă©tĂ© rĂ©digĂ©e par l’autre partie.

11.11 Relation entre les parties. Aucune disposition du prĂ©sent Accord ne doit ĂȘtre interprĂ©tĂ©e comme crĂ©ant une relation de partenariat, de coentreprise ou mandataire, ou toute relation d’affaires semblable entre les parties. Aucune des parties n’est un reprĂ©sentant lĂ©gal de l’autre partie, et aucune des parties ne peut assumer ou crĂ©er aucune obligation, reprĂ©sentation ou garantie, expresse ou implicite, au nom de l’autre partie Ă  quelque fin que ce soit et n’aura le pouvoir de lier l’autre partie sans son consentement Ă©crit prĂ©alable.

11.12 Cession/Successeurs. Vous ne pouvez pas cĂ©der ou transfĂ©rer le prĂ©sent Accord, en totalitĂ© ou en partie, sans Notre consentement Ă©crit prĂ©alable, et si ce consentement est fourni, uniquement si le cessionnaire accepte par Ă©crit d’ĂȘtre liĂ© par les conditions de l’Accord en vigueur au moment oĂč il est signĂ©. Toute tentative de cession ou de transfert en violation du prĂ©sent paragraphe sera nulle et non avenue. Nonobstant ce qui prĂ©cĂšde, le prĂ©sent Accord s’appliquera au profit des successeurs et ayants droit des parties.

11.13 Recours non exclusifs. À l’exception de ce qui est indiquĂ© dans le prĂ©sent Accord, l’exercice par Nous de tout recours en vertu du prĂ©sent Accord sera sans prĂ©judice de Nos autres recours en vertu du prĂ©sent Accord ou autrement.

11.14 Pas de tiers bĂ©nĂ©ficiaires. Le prĂ©sent Accord est destinĂ© Ă  Votre et Notre seul et unique avantage et ne vise aucun bĂ©nĂ©fice pour un tiers. Seules les parties de cet Accord peuvent l’exĂ©cuter.

11.15 ConformitĂ© aux lois; ContrĂŽle des exportations. Vous acceptez de Vous conformer Ă  toutes les lois applicables. Nous fournissons les Services Ă  partir de Notre siĂšge social aux États-Unis d’AmĂ©rique. Si Vous utilisez les Services en dehors des États-Unis d’AmĂ©rique ou du Canada, Vous ĂȘtes entiĂšrement responsable du respect des Lois locales en vigueur, y compris, sans toutefois s’y limiter, les rĂ©glementations en matiĂšre d’exportation et d’importation.


DÉFINITIONS :

« Affilié » signifie toute entitĂ© qui contrĂŽle directement l’entitĂ© en question ou indirectement, est contrĂŽlĂ©e par elle ou est sous contrĂŽle commun avec elle.

« Autres renseignements » dĂ©signe les renseignements que Nous recueillons et qui ne peuvent pas Vous identifier prĂ©cisĂ©ment, comme dĂ©crit de maniĂšre plus dĂ©taillĂ©e dans la Politique en matiĂšre de confidentialitĂ©.

« Bon de commande » dĂ©signe tout document prĂ©cisant les Services Ă  fournir conclu entre Nous et Vous, y compris les annexes, les addendas et les supplĂ©ments correspondants. En entrant dans le Bon de commande, Vous acceptez d’ĂȘtre liĂ© par les conditions du prĂ©sent Accord comme si le Bon de commande en faisait partie originale.

« Commentaires » dĂ©signe les commentaires ou les idĂ©es, y compris, mais sans s’y limiter, pour les nouveaux produits, technologies, promotions, noms de produits, commentaires sur les produits et l’amĂ©lioration des produits que Vous ou Vos Utilisateurs Nous fournissez concernant les Services ou Nos Renseignements, ou toute amĂ©lioration suggĂ©rĂ©e Ă  ces derniers.

« Concurrent » dĂ©signe une entreprise ou une organisation : (a) qui dĂ©veloppe, vend ou distribue des logiciels ou des services de gestion de l’information Ă  la communautĂ© agricole; (b) qui fournit des assurances et une gestion des risques dans le secteur agricole; (c) qui fournit des services de prĂȘt dans le secteur agricole; (d) qui est un fournisseur ou distributeur d’intrants agricoles; (e) qui est un fournisseur de matĂ©riel agricole; (f) qui fournit des services de courtage immobilier pour les terres agricoles; ou (g) qui fournit des renseignements sur les prix courants des produits de base.

« Conditions supplĂ©mentaires » dĂ©signe toutes les autres conditions qui s’appliquent Ă  Votre utilisation des Services, telles que les conditions prĂ©cises Ă  un Service particulier, les conditions du bon de commande, les conditions de facturation et la Politique en matiĂšre de confidentialitĂ© mentionnĂ©es dans les prĂ©sentes.

« Contenu » dĂ©signe les fichiers, photos, documents, notes, fichiers audio, Ɠuvres numĂ©riques et vidĂ©os tĂ©lĂ©chargĂ©s, stockĂ©s, diffusĂ©s ou partagĂ©s par le biais des Services.

« Date d’entrĂ©e en vigueur » dĂ©signe la date Ă  laquelle Vous accĂ©dez pour la premiĂšre fois aux Services.

« Loi » dĂ©signe tous les constitutions, lois, statuts, rĂšgles, rĂšglements, permis, licences, approbations, interprĂ©tations et ordonnances des tribunaux ou des autoritĂ©s gouvernementales et tous les ordres et dĂ©crets de tous les tribunaux et arbitres.

« MatĂ©riel de marque » dĂ©signe les caractĂ©ristiques distinctives de la marque, notamment le symbole, le design ou le nom unique d’une entitĂ©.

« Nos Renseignements » dĂ©signe toutes les donnĂ©es que Nous Vous avons fournies, y compris tous les Contenus, donnĂ©es, analyses, Renseignements agrĂ©gĂ©s, recommandations ou autres renseignements gĂ©nĂ©rĂ©s par ou mis Ă  Votre disposition par ou par l’entremise des Services, Ă  l’exclusion de Vos Renseignements, mais y compris des donnĂ©es pouvant ĂȘtre liĂ©es Ă  Vos Renseignements (par exemple, lorsque Vos Renseignements sont utilisĂ©s pour dĂ©velopper des Renseignements agrĂ©gĂ©s et des analyses).

« Renseignements agrĂ©gĂ©s » dĂ©signe une combinaison de renseignements provenant de diffĂ©rentes sources et peut inclure Vos Renseignements ou d’Autres renseignements qui ne Vous identifient pas personnellement.

« Renseignements personnels » dĂ©signe des renseignements qui Vous identifient en tant qu’individu ou qui concernent un individu identifiable, comme dĂ©crit plus en dĂ©tail dans la Politique en matiĂšre de confidentialitĂ©.

« Services » dĂ©signe Nos produits, services, sites Web, applications logicielles, documentation et autres Contenus que Nous Vous fournissons.

« Taxes » dĂ©signe les taxes, droits, cotisations, redevances et autres charges gouvernementales (autres que Notre impĂŽt sur le revenu) associĂ©es Ă  la vente des Services, y compris les pĂ©nalitĂ©s ou les intĂ©rĂȘts correspondants.

Les Utilisateurs peuvent inclure, par exemple, Vos employĂ©s, consultants, contractants, reprĂ©sentants et agents, ou des tiers avec lesquels Vous effectuez des transactions.
